1 SECOND MODIFICATION OF AGREEMENT NO. 10781 (CCS)
This Second Modification of Agreement Number 10781 (CCS) (“Second Modification”), entered into as of _________________(“Execution Date”), by and between the City of Santa Monica, a municipal corporation (“City”), and R3 Consulting Group, Inc. (R3) is made with reference to the following:
RECITALS
A. On or about January 25, 2019, the City and R3 entered into Agreement Number 10781 (CCS) for operational analysis, zero waste plan update, and rate study services (“Original Agreement”).
B. On or about June 30, 2020, the City and R3 entered into a First Modification of Agreement Number 10781 (CCS) (“First Modification”) which extended the contract term to December 31, 2021. The Original Agreement and First Modification may be referred to collectively herein as “the Agreement.” C. The City and R3 desire to modify the Agreement to extend the contract term.
TERMS AND CONDITIONS
Now, therefore, the undersigned parties do hereby mutually agree to modify the Agreement as follows:
1. Section 1 of the Agreement entitled “Term” shall be deleted in its entirety and replaced with the following paragraph:
Term. This Agreement begins on the Execution Date and terminates on June 30, 2023, unless terminated earlier as set forth in the Agreement or extended by the parties in writing.
2. The billing rates attached hereto as Exhibit A-1 shall supplant the billing rates in the Original Agreement.

2 3. Except as expressly modified by this Second Modification, all other terms and conditions of the Agreement shall be and remain in full force and effect.

2021 Hourly Billing Rates
In the table below, we have provided our hourly billing rates for the R3 Project Team that may be involved in providing solid waste consultant services. These hourly rates are effective May 1, 2021 and are subject to periodic adjustments based on CPI.

Payments
Unless otherwise agreed in writing, fees for work completed will be billed monthly at the first of each month for the preceding month and will be payable within 30 days of the invoice date.
