1 SECOND MODIFICATION OF AGREEMENT NO. 9789 (CCS)
This Second Modification of Agreement Number 9789 (CCS) (“Second Modification”), entered into as of _______________ (“Execution Date”), by and between the City of Santa Monica, a municipal corporation (“City”), and Compulink Management Center, Inc., a corporation doing business as Laserfiche (LASERFICHE) is made with reference to the following:
RECITALS
A. On or about^^March 27, 2014, the City and LASERFICHE entered into Agreement Number 9789 (CCS) for software licenses and service (“Original Agreement”).
B. On or about^^April 12, 2018, the City and LASERFICHE entered into a First Modification of Agreement Number 9789 (CCS) (“First Modification”) which added licenses and additional services to be performed by LASERFICHE; and to increase the contract price to pay for those additional licenses and services. The Original Agreement and First Modification may be referred to collectively herein as “the Agreement.”
C. The term of the Agreement is set to expire June 30, 2023.
D. The City and LASERFICHE desire to modify the Agreement to extend the agreement term; and to increase the agreement price to pay for the additional term.
TERMS AND CONDITIONS
Now, therefore, the undersigned parties do hereby mutually agree to modify the Original Agreement as follows:
1. The term of the Agreement shall be extended for an additional 12 months, from July 1, 2023, to June 30, 2024 (the Extension Term), unless terminated earlier as set forth in the Agreement or extended by the parties in writing.
2. The City will compensate LASERFICHE for services provided during the Extension Term in an amount not to exceed $1,250.00, as set forth in Exhibit A-1.
3. Exhibit A-1 is attached hereto incorporated herein by this reference.
4. Execution in Counterparts. This Second Modification may be executed in counterparts with the same effect as if both parties hereto had executed the same document. All counterparts shall be construed together and shall constitute a single modification. Any signature to this Second Modification transmitted electronically through DocuSign or PDF shall be deemed an original signature and be binding upon the parties hereto (it being agreed that such electronic signature shall have the same force and effect as an original signature).

2 conditions of the Agreement shall be and remain in full force and effect.

N.B. All software, licenses, and documentation will be made available for download electronically through secure access to Laserfiche internal servers via FTP or HTTP protocol so that they WILL NOT be delivered or shipped on tangible media.
LSSP Support covers defects in the core Laserfiche software. Billable services cover all non-support related issues. Laserfiche will do all of the necessary research to determine a support issue’s root cause.
If the cause is not covered under LSSP Support, all future work related to the issue will be treated as a new billable services project.
Not covered under LSSP Support are situations where something “breaks” as a result of a customer trying to change the system, or a customer needs Laserfiche’s consultation to better understand the system.
VIP is a package that is used for non-core product support. The VIP package can be used for integration support, system migrations, and other non-core product support not exceeding 20 hours at one time.
