This term sheet:
1) summarizes the terms proposed for the sale of 35 burial plots by Seaside Lodge No. 369 Independent Order of Odd Fellows to the City of Santa Monica with the understanding that only the City Council of the City of Santa Monica has the authority to accept this offer 2) memorializes a meeting on October 8, 2024 between the following representatives of City of Santa Monica Woodlawn Cemetery, Mausoleum & Mortuary and Seaside Lodge No. 369 Independent Order of Odd Fellows:

Proposed terms and conditions
1. SALE AND PURCHASE OF BURIAL PLOTS
City of Santa Monica hereby agrees to buy and Seller Lodge No. 369 hereby agrees to sell 35 burial plots situated in Block 4 of the Woodlawn Cemetery located in the City of Santa Monica.
The Lodge acknowledges that the rights in the property to be sold and conveyed to the City include any and all interment and perpetual care rights. The Lodge further acknowledges, and warrants, that the Property to be sold and conveyed to Buyer represent empty graves that have not yet been used for interment purposes.
2. SELLER TO EXECUTE QUITCLAIM DEED
The Lodge agrees to execute the quitclaim deed to quitclaim and convey to City any and all real property interests it may have or may have acquired Parcels 1 and 2 of the Woodlawn Cemetery.
3. PURCHASE PRICE PAID TO SELLER
The purchase price paid to Lodge No. 369 by the City shall be One Hundred Seventy-Five Thousand ($175,000.00) which shall be paid to Lodge No. 369 within 30-days following the full execution of this Agreement.
4. RECORDATION OF DEED
City shall cause the executed quitclaim deed be recorded with the Los Angeles County Registrar only after Lodge No. 369 receives payment of the purchase price stated in Paragraph 3.
The City shall provide Lodge No. 369 with a conformed copy of the quitclaim deed.
