FIRST MODIFICATION OF AGREEMENT NO. 11475 (CCS)
This First Modification of Agreement Number 11475 (CCS) (“First Modification”), entered into as of__________,2024, by and between the City of Santa Monica, a municipal corporation (“City”), and Stantec Consulting Services, Inc. (Design Consultant) is made with reference to the following:
RECITALS
A. On or about December 12, 2023, the City and Design Consultant entered into Agreement Number 11475 (CCS) for Design Consultant professional services on the following Project: Engineering Design Services for Water Reservoir Upgrades.
B. The City and Design Consultant desire to modify the Agreement to include additional services to be performed by Design Consultant and to increase the contract price to pay for those additional services.
TERMS AND CONDITIONS
Now, therefore, the undersigned parties do hereby mutually agree to modify the Original Agreement as follows:
1. Article 2 of the Original Agreement entitled “Design Consultant Services” shall be modified by adding the following paragraph:
Design Consultant will perform all of the additional services described in Exhibit A-1 (“Additional Services”). Design Consultant will complete the Additional Services in accordance with Exhibit B-1, Budget Modification No. 1 - Additional Services.
2. Article 4 of the Original Agreement entitled “Compensation” shall be modified by adding the following paragraph:
Compensation. The City will compensate Design Consultant for the Additional Services in an amount not to exceed TEN THOUSAND TWO HUNDRED FIFTYFIVE DOLLARS ($10,255.00) as set forth in Exhibit B-1, Budget Modification No. 1 - Additional Services. The total contract price for services pursuant to the Original Agreement and this First Modification shall not exceed THREE MILLION, THREE
HUNDRED SIXTY-FOUR THOUSAND, ONE HUNDRED AND
FIFTY-SEVEN DOLLARS ($3,364,157).
3. Exhibit A-1, Additional Service, and Exhibit B-1, Budget Modification No. 1 – Additional Services, are attached hereto and incorporated herein by this reference.
4. Except as expressly modified by this First Modification, all other terms and conditions of the Agreement shall be and remain in full force and effect.
5. This First Modification may be executed in counterparts with the same effect as if both parties hereto had executed the same document. First Modification transmitted electronically through DocuSign or PDF shall be deemed an original signature and be binding upon the parties hereto (it being agreed that such electronic signature shall have the same force and effect as an original signature).

Reference: Change Order #1 for Engineering Design Services for Water Reservoir Upgrades and Improvements, SP2679 Revised Scope and Fee
Dear Mr. Shahbazi,
As requested Stantec has prepared a scope of work and budget to provide structural assessment of the Metropolitan Water District Vault Building at the Arcadia Water Treatment Plant. The Stantec team will review record drawings of the structure, conduct a site visit to identify deficiencies, and conduct a Tier 1 Analysis as identified in ASCE 41-13.
Stantec will present the results of the analysis to City Staff at a regular progress meeting and document the results in the Basis of Design Report.
The total fee estimate is attached and equal to $10,255, increasing the total contract amount from $3,353,902 to $3,364,157.
