The parties therefore agree to the following:
ARTICLE 1
GENERAL TERMS AND CONDITIONS.
1.1 General Terms and Conditions.
(a) In this agreement, “General Terms and Conditions” means the content of the document titled “General Terms and Conditions Under the Fiscal Years 2024-2026 Reconnecting Communities Pilot (RCP) Program: FHWA Projects,” dated November 4, 2025, which is available on the RCP website. ARTICLE 2
SPECIAL TERMS AND CONDITIONS.
2.1 [Special Term Title].
Pursuant to the court’s preliminary injunction order in King County v. Turner, 2:25-cv-814-BJR (W.D. Wash.), ECF No. 169 (June 3, 2025), DOT will not be imposing or enforcing the challenged conditions,* or any materially similar terms and conditions, to any grant funds awarded, directly or indirectly, to DOT Plaintiffs and subrecipients, or otherwise rescinding, withholding, cancelling, not processing, pausing, freezing, impeding, blocking, cancelling, terminating, delaying, or conditioning DOT funds based on such conditions to the DOT Plaintiffs or their subrecipients while subject to an injunction. Further, DOT will not require DOT Plaintiffs or their subrecipients to make any certification or other representation related to compliance with such terms and conditions nor will DOT refuse to issue, process, or sign grant agreements based on DOT Plaintiffs’ participation in this litigation. Should DOT prevail in the District Court or on appeal, then DOT will require that recipients agree to the original terms and conditions if they wish to continue with the grant in place. Further, pursuant to the ruling in State of California v. Duffy, 1:25-cv-00208-JJM-PAS (D.R.I.), DOT grant agreements have been modified to remove terms and conditions pertaining to cooperation with federal immigration enforcement.
*The challenged conditions are:
1. “Pursuant to section (3)(b)(iv)(A), Executive Order 14173, Ending Illegal Discrimination and Restoring Merit-Based Opportunity, the Recipient agrees that its compliance in all respects with all applicable Federal anti-discrimination laws is material to the government’s payment decisions for purposes of [the False Claims Act, 31 U.S.C. § 3729(b)(4)]”;

SCHEDULE B
PROJECT ACTIVITIES
1. General Project Description.
The Reconnecting Pico Neighborhood Project (Reconnecting Pico) is committed to enhancing community-centered transportation, improving access to economic opportunity, education, health, and the creation of green spaces, while simultaneously alleviating environmental burdens for the residents of the Pico Neighborhood. To achieve this, staff will conduct a thorough investigation into the feasibility, optimal placement, and phasing of cap parks along the I-10 freeway segment from 11th to 20th Streets as well as bike and pedestrian improvements to the area.
2. Statement of Work.
Reconnecting Pico is divided into four phases: Phase 1 focuses on the 14-17th Street section and builds upon the previously uncompleted and unpublished feasibility draft from 2014. Phase 2 extends the study to the 11-14th Street section, Phase 3 examines the 17-20th Street section, and Phase 4 involves evaluating each feasibility study to create a final Project Plan. This plan will prioritize cap park locations in alignment with available funding sources and an implementation timeline. The project envisions the development of a pedestrian-friendly environment featuring improved sidewalks, dedicated bikeways, and potential integration with public transit systems, ensuring accessibility for individuals of all abilities. Each phase will provide valuable insights into feasibility, costs, and impacts, helping to identify priority areas for development.
Proposed Planning Improvements:
1. Existing Conditions Analysis/Site Research:
1.1 Review background information, obtain long-range plans, and update existing preliminary studies such as land surveys, geotechnical reports, and traffic pattern studies.
1.2 Establish baseline data on the freeway’s impacts on the environment, public health, economy, and community.
1.3 Evaluate right-of-way impacts and investigate air-rights issues and opportunities.
2. Community Outreach/Public Engagement:
2.1 Compile a list of all potential local stakeholders to be used throughout the entirety of this project.

2.2 Conduct public outreach to establish a community vision for future green space and surrounding areas.
2.3 Engage a broad cross-section of the community through various outreach methods and events.
2.4 Prepare project guiding principles, design and phasing concepts, cost-benefit analysis, and funding scenarios to determine a preferred alternative based on feedback and outcomes of the community/public engagement.
3. Develop Concepts, Conduct Constructability Review:
3.1-3.6 Determine Preferred Alternative, Evaluate Funding Sources, and Prepare Final Feasibility Study Document with all necessary components including executive summary, project history, existing conditions, project description, construction phasing options, cost estimates, and funding strategies.
4. Pre-Development Activities:
4.1 Prepare conceptual engineering plans and studies to support environmental review for a construction project.
4.2 Coordinate closely with CalTrans regarding project scope approvals, encroachment permits, airspace leases, and other project acceptance requirements.
5. Final Report:
5.1 Prepare Final Report for feasibility cap feasibility and site recommendation TEMPLATE; NOT INTENDED FOR EXECUTION WITHOUT MODIFICATION Revised 2025-11-04

SCHEDULE E
CHANGES FROM APPLICATION
Scope:
No changes.
Schedule:
The original project schedule reflected in the supplementary SF-424 budget document submitted with the application would have extended 24 months from January 1, 2025 to December 31, 2026. Given delays in the award confirmation, processing, and in anticipation of other possible delays, the new period of performance is estimated for 40 months, from Spring 2026 to July 31, 2029. FHWA notified the City of Santa Monica on October 15, 2025 that the City was cleared to work with the FHWA CA Division Office on the grant agreement. The revised project schedule reflects time required to coordinate the grant agreement and the anticipated timeline necessary to execute the agreement.
Budget:
Overall, the City will slightly increase its non-Federal share. It will increase cash match and decrease local in-kind match components of the non-Federal share. The City’s application noted a $357,000 local in-kind match for staff time for project administration and committed to providing a $143,000 cash match contribution. The City, in evaluation of recent project precedent, will revise that breakdown to instead provide $190,240 local in-kind match for staff time for project administration and increase to a $315,472 its cash match contribution.
The table below provides a summary comparison of the Project budget.
