4886-7192-0392/200356-0512
In addition, we have made such factual and other inquiries and examinations as we deemed necessary for the purpose of this letter.
We call to your attention the fact that we are not general counsel to the Developer and do not represent the Developer on a continuing basis. Rather, we are representing the Developer solely in connection with its interactions with the City and the Community Facilities District in connection with the issuance of the 2022 Bonds.
Whenever we have indicated in this letter that the existence or absence of facts is indicated to be based on our knowledge, it is intended to signify that during the course of our representation of the Developer as herein described, no information has come to the attention of the lawyers in our firm actively representing the Developer in the matters described herein which would give them current actual knowledge of the existence or absence of such facts. Please be advised that only John P. Yeager and Sandra A. Galle have been so actively representing the Developer.
Except to the extent expressly set forth herein, we have not undertaken any independent investigations to determine the existence or absence of such facts, and no inference as to our knowledge of the existence or absence of such facts should be drawn from our representation of the Developer.
We have made no examination of, and express no belief or conclusion as to, title to the Property, the ability of the Developer to develop the Property (except as specifically set forth in paragraph 1 below), or the viability of the development or sale of the Property by the Developer as described in the Official Statement.
As to certain factual matters (which we have not independently established or verified), including, without limitation, the status of the development of the Property by the Developer and existing development entitlements and future development entitlements which must be obtained in order for the Developer to complete the development and sale of the Property, we have relied upon statements, certificates and other assurances of public officials and of certain officers and agents of the Developer, as well as employees and/or consultants of the Developer.
We have assumed, without inquiry or investigation, the genuineness of all signatures, the authenticity of all documents submitted to us as originals, the conformity to original documents of documents submitted to us as copies or as exhibits, and the authenticity of such originals of such latter documents.
Based solely upon and subject to the foregoing as well as to the qualifications, limitations, exclusions, exceptions, assumptions and other matters set forth herein, we are of the belief that:
1. Without having undertaken to determine independently the accuracy, completeness, or fairness of the statements contained in the Preliminary Official Statement and the Official Statement, but based solely on (i) our limited capacity as special counsel to the Developer, (ii) the representations of the Developer and/or its employees and/or consultants, and our reliance thereon, and (iii) our review of the Preliminary Official Statement and the Official Statement, no facts had or have come to our attention during the course of our representation of the Developer as described herein which caused us to believe that the information describing Development Matters (defined below) 275

To: Honorable Mayor and Members of the City Council
From: Clete J Saunier, Public Works
Subject: PHOENIX CIVIL ENGINEERING CONSTRUCTION CONTRACT
SUPPORT SERVICES AGREEMENT
Date: February 16, 2022
Agenda Item: 10.B
CITY OF SANTA PAULA
MEMORANDUM
RECOMMENDATION:
Staff recommends that the City Council:
1. Authorize the City Manager to execute a professional services agreement with Phoenix Civil Engineering (PCE) for an amount not to exceed nine hundred seventy nine thousand three hundred eighty ($979,380) dollars for construction management, materials testing, and construction engineering services for the Harvard Boulevard Water and Sewer Pipeline Replacement and Paving Rehabilitation Project.
Presented by: Clete Saunier, Public Works Director
BACKGROUND:
On December 15, 2021 the City Council approved plans and specifications for the Harvard Boulevard Water and Sewer Pipeline Replacement and Paving Rehabilitation Project (Project). The Project, which contemplates the replacement of 9,000 lineal feet of new water main, 8,000 lineal feet of sewer main and 725,000 square feet of pavement on Harvard Boulevard over an 18 month period, is currently out to bid.
ANALYSIS:
The Project scope entails the replacement and reconstruction of an extensive inventory of water, sewer and roadway assets, in the context of a built environment. Harvard Boulevard is a central corridor in the City, and serves a range of businesses, schools, residences and other destinations. While a significant construction effort will be required to complete the project, proper construction sequencing, active community outreach, and thoughtful traffic handling must be provided for the duration of the 18 months of estimated construction.
Recent experience with similar types of projects, including the Palm Court water and sewer replacement project, have revealed that utility construction projects in older streets encounter significant numbers of unknown and incorrectly identified conduits and pipelines that must be addressed in the field. These conditions frequently require adjustments to the design plans that must be completed in rapid fashion to minimize delays to construction and related 287
additional costs. The seamless blending of construction management, engineering, inspection and related administration is of significant importance for these types of projects.
Staff finds PCE to be uniquely qualified for the required construction management, engineering and related construction period services. Such qualification is related to their knowledge of the project, familiarity with similar conditions, and proven ability to deliver similar projects in difficult urban environments. PCE staff Jon Turner and Sarah Watte have completed the design of the project and are well capable of completing the required tasks of construction management, engineering, and inspection. Construction management efforts will include construction inspection, review of contractor submittals, requests for information (RFIs) and other construction administration items. A comprehensive program of public engagement and communication is planned that will include outreach to businesses, residents and schools in the Project area, field communication and maintaining a website for public information.
STRATEGIC PLAN:
This agenda item does not directly address the strategic goals within the City's adopted Strategic Plan.
FISCAL IMPACTS:
Funding for the Project’s construction management was anticipated in the estimate of cost presented to City Council on November 3, 2021 and is included in the FY 21/22 budget. A breakdown by fund and project is presented in Table 1 below. The Project construction management effort is proportioned according to the project construction cost estimate, according to the distribution of cost to water, sewer and pavement rehabilitation.
Table 1: Funding Sources – Construction Management Cost Allocation 2021-2023 CIP Program Fund Cost
CIP 9108 - Water Main Replacement 620-Water Enterprise $381,958 CIP 9215 - Sewer Pipe Rehabilitation 610-Sewer Enterprise $460,309 CIP 9285 – Pavement Rehab 283-SB1 $137,113
Total = $979,380
OPTIONS:
In addition to the recommended action, the Council has available to it the following alternative option:
1. Do not approve the agreement with Phoenix Civil Engineering (PCE) for construction management, materials testing, and construction engineering services for the Harvard Boulevard Water and Sewer Pipeline Replacement and Paving Rehabilitation Project and issue the request for qualifications and proposal. This would significantly delay implementation of the construction and related management of the Project.

To: Honorable Mayor and Members of the City Council
From: John Cotti, Administration
Subject: CITY COUNCIL COMPENSATION
Date: February 16, 2022
Agenda Item: 10.C
CITY OF SANTA PAULA
MEMORANDUM
RECOMMENDATION:
Staff recommends that the City Council review State law governing council member compensation and the procedures for increasing compensation and provide further direction to City staff.
Presented by: John Cotti, City Attorney
BACKGROUND:
In 1966, the City Council established its monthly compensation at $150. In 1982, the Council increased its monthly compensation to $300 and it has remained that amount since.
The purpose of this staff report is to outline the State law affecting City Council compensation and discuss the methods for increasing compensation should the council choose to do so.
ANALYSIS:
1. Base Salary Amount Set by Population
For general law cities like Santa Paula, State law establishes a base for city council salaries that is determined by a city’s population. (Gov. Code, § 36516.) As Santa Paula’s population is under 35,000 (30,657 per the 2020 census), City Council members are authorized to receive $300 per month.
2. Methods to Increase Salary
There are two ways for a City Council to increase the base compensation: by ballot measure or by ordinance.
To increase compensation by ballot measure, the Council may submit a proposal to establish salaries to the voters for majority approval. Government Code Section 36516(b) states:
315
“At any municipal election, the question of whether city council members shall receive compensation for services, and the amount of compensation, may be submitted to the electors. If a majority of the electors voting at the election favor it, all of the council members shall receive the compensation specified in the election call. Compensation of council members may be increased beyond the amount provided in this section or decreased below the amount in the same manner.”
Therefore, the City Council may increase its compensation by placing the proposed increase on the ballot. If the proposal receives a majority of the votes, the increase will pass.
To increase compensation by ordinance, the City Council can designate an amount in an Ordinance; however, the amount is limited by statute. Government Code Section 36516(c) states:
“Compensation of council members may be increased beyond the amount provided in this section by an ordinance or by an amendment to an ordinance but the amount of the increase may not exceed an amount equal to 5 percent for each calendar year from the operative date of the last adjustment of the salary in effect when the ordinance or amendment is enacted. No salary ordinance shall be enacted or amended which provides for automatic future increases in salary.” (Emphasis added.) Any increase cannot be compounded but must instead be based on the total number of years. (Gov. Code, § 36516(a)(4)). Since there has been no increase in 40 years, an ordinance could be adopted setting the salary at any amount up to $900 per month.
Description CalculationResult
Starting Council Salary $ 300.00 Starting Salary
5% increase on starting salary .05 x $300 $ 15.00 Annual Increase Increase over 40 years 40 x $15.00 $ 600.00 Maximum Increase Starting Salary + Maximum Allowed
Increase
$300 + $600 $ 900.00 Maximum Salary
State law is not completely clear about what constitutes a calendar year. There are a number of possible interpretations but perhaps the most appropriate reading is to calculate increases from the effective date of the last increase to the effective date of the next increase.
3. Effective Date for Salary Increases
If the Council adopts an ordinance to increase its compensation, the change does not take place immediately. The change in compensation would not take effect until the commencement of new terms of office for Councilmembers, which will take place at the general municipal election in November, 2022.
This requirement is found in Government Code Section 36516.5, which provides:
“A change in compensation does not apply to a council member during the council member’s term of office. This prohibition shall not prevent the adjustment of the compensation of all members of a council serving staggered terms whenever one or more members of such council becomes eligible for a salary increase by virtue of his beginning a new term of office.” 316
4. City Council Compensation in Other Local Jurisdictions The following table shows current city council salaries in other jurisdictions in Ventura County.
City
Current Council Salary Per
Month
Ventura
$600 Councilmembers
$700 Mayor (up to)
Oxnard $1,701.00
Camarillo $1,482.57
Thousand Oaks $1,750.00
Simi Valley $1,202.76
Ojai $ 760.00
Moorpark $ 600.00
Fillmore $ 300.00
Council is under no obligation to adjust compensation levels now or in the future. Based on the peer group data above, and the fact that the compensation amount has not been altered for 40 years, this is an appropriate time to consider any adjustments. While compensation amounts cannot exceed $900 per month, any amount below that figure and above the current rate of $300 could be adopted.
STRATEGIC PLAN:
None.
FISCAL IMPACTS:
A change in compensation levels has not been budgeted for. If salaries were raised to the maximum amount allowed by ordinance, general fund expenditures would increase by $38,540 annually ($36,000 in salary and $2,540 in benefits). Any such action would need to be accompanied by a budget adjustment, effective with the 2022-23 fiscal year.
OPTIONS:
The City Council can:
1. Request that staff work on a ballot measure to increase City Council compensation.
2. Request that staff work on an ordinance to increase City Council compensation.
3. Decline to move forward with this item.
