Santa Paula, Fillmore, and County are referred to collectively as the “Funding Parties.” All parties are referred to collectively as the “Parties.”

RECITALS
WHEREAS, Spirit of Santa Paula, a California nonprofit corporation (“Spirit”), has operated the Harvard Shelter located at 1498 E. Harvard Blvd., Santa Paula, CA 93060 (the “Shelter”) as the primary year-round emergency homeless shelter serving the Santa Clara Valley, including the communities of Santa Paula, Fillmore, and the unincorporated area of Piru; WHEREAS, Spirit is in the process of winding down its operations, and the Parties wish to support an orderly and effective transition of Shelter operations to a qualified successor operator in order to preserve uninterrupted shelter services for the homeless population of the Santa Clara Valley;
WHEREAS, RMA is a well-established California nonprofit organization with demonstrated experience in operating homeless shelters and providing supportive services; WHEREAS, RMA has expressed its intent to assume operation of the Shelter, and the Funding Parties have expressed their intent to support such transition and to provide financial support for Shelter operations under RMA’s leadership;
WHEREAS, the Funding Parties wish to confirm their commitment to RMA and to the continuation of Shelter operations, while acknowledging that the transition will occur through termination of Spirit’s Operating Agreement and execution of a new Operating Agreement with RMA.

NOW, THEREFORE, the Parties express their mutual intent and commitments as follows, subject to the limitations set forth in Section 5 of this LOI:

1. INTENT TO SUPPORT TRANSITION OF SHELTER OPERATIONS
The Parties express their joint intent and support for the transition of Shelter operations from Spirit of Santa Paula to Rescue Mission Alliance, anticipated to be effective July 1, 2026 (the “Transition Date”). The Parties acknowledge that as of the Transition Date, Spirit will wind 281
65283.00001\45069877.1 Page 2 of 5
down its role as Shelter Operator and RMA will assume responsibility for the day-to-day operation, management, and programmatic delivery of services at the Shelter.

The Funding Parties acknowledge RMA as the successor operator of the Harvard Shelter effective on the Transition Date, subject to the execution of a formal operating agreement between the City of Santa Paula and RMA as described in Section 2 below. The County and City of Fillmore acknowledge that, consistent with the existing Funding Agreement structure, the City of Santa Paula will serve as the contracting party with RMA and that County and City of Fillmore will provide financial support through the City of Santa Paula, as with the prior arrangements with Spirit.

The Parties further acknowledge and agree that the transition serves the public interest by ensuring continuity of homeless shelter services in the Santa Clara Valley and by placing the Shelter under the stewardship of an experienced nonprofit operator with the capacity to sustain and expand Shelter operations.

2. COMMITMENT TO THREE-YEAR FUNDING AGREEMENT

2.1 Intent to Enter Three-Year Funding Agreement. The Funding Parties express their intent to enter into a new, multi-year agreement to provide financial support for operation of the Shelter under RMA’s leadership for a period of three (3) years, anticipated to cover fiscal years 2026-2027, 2027-2028, and 2028-2029 (the “Three-Year Funding Agreement”). The Three-Year Funding Agreement shall be subject to annual appropriation, governing body approval, and such terms and conditions as the Funding Parties may agree upon following good-faith negotiation.

2.2 Maintenance of Current Funding Levels. It is the intent of the Funding Parties to maintain financial contributions at levels consistent with those established for Fiscal Year 2025- 2026 under the existing Funding Agreement (total not-to-exceed $700,000 per fiscal year, apportioned as follows: Santa Paula $200,000; Fillmore $150,000; County $350,000 matching), subject to annual budget review, governing body approval, and adjustment for demonstrated changes in actual operating costs. Nothing in this LOI shall obligate any Funding Party to appropriate funds beyond amounts approved by its governing body for any given fiscal year.

2.3 Operating Agreement with RMA. The City of Santa Paula expresses its intent to enter into an operating agreement with RMA as successor operator of the Shelter, on substantially the same terms and conditions as the existing Operating Agreement with Spirit of Santa Paula (as amended), as soon as practicable following the Transition Date and subject to Santa Paula City Council approval. Santa Paula shall provide a draft of the proposed operating agreement to the County and City of Fillmore for review as to consistency with the Three-Year Funding Agreement prior to execution.

2.4 Performance Expectations. The Three-Year Funding Agreement shall include performance expectations and accountability metrics for RMA substantially consistent with those established for Spirit of Santa Paula under the Funding Agreement and Operating Agreement, including metrics related to exits to positive destinations, housing plan development, length of stay, occupancy rate, and Coordinated Entry System enrollment. The Parties are committed to supporting RMA in meeting or exceeding these metrics.

3. COMMITMENT TO SEMI-ANNUAL MEETINGS

3.1 Semi-Annual Meetings. The Parties commit to holding semi-annual meetings among the RMA Executive Team and authorized representatives of the City of Santa Paula, City of Fillmore, and County of Ventura for the purpose of:
(a) Reviewing Shelter operational performance against established metrics; (b) Assessing the adequacy of funding relative to actual and projected operating costs;
(c) Coordinating on any operational changes, expansion of services, or capital needs;

4. ACKNOWLEDGMENT OF RMA AS SUCCESSOR OPERATOR

4.2 The Funding Parties will work cooperatively and in good faith with RMA during the transition period and thereafter to ensure continuity of Shelter services and the success of the funding partnership;

4.3 The Funding Parties will use best efforts to complete all necessary agreements, approvals, and administrative processes in a timely manner to avoid any gap in financial support for Shelter operations following the Transition Date; and

4.4 RMA’s assumption of Shelter operations is contingent upon RMA obtaining all necessary licenses, permits, insurance, and approvals required to operate the Shelter in accordance with applicable law and the requirements of the operating agreement to be negotiated with the City of Santa Paula.

5. NATURE AND LIMITATIONS OF THIS LETTER OF INTENT
283
65283.00001\45069877.1 Page 4 of 5

CITY OF SANTA PAULA

MEMORANDUM
RECOMMENDATION:

Staff recommends City Council:

1. Authorize the City Manager to enter into a professional services agreement with the Chamber of Commerce for FY2026/2027.

Presented by: Santa Paula Chamber of Commerce
BACKGROUND:

The relationship between the Santa Paula Chamber of Commerce (“Chamber”) and the City has become a strategic one that helps drive economic growth and community development and supports the City Council's adopted Strategic Plan. The Chamber represents businesses, advocating for favorable conditions and policies. This collaboration promotes tourism, local events and promotions, and fosters a sense of community.

In the past two years, the Chamber collaborated with City staff to continue programs such as the business roundtable sessions with local business owners, and conducted workshops with partners such as the Economic Development Collaborative (“EDC”) and Women’s Economic Ventures (“WEV”). In addition, a new partnership, called Business Connect, was launched to support regular site visits by the Mayor, City staff, and members of the Chamber to key local businesses in town.

In the latest contractual services agreement, the Chamber of Commerce’s scope of services included key components from the City’s Two-Year Strategic Plan. Members of the Chamber's Board of Directors will attend the meeting to report on those achievements and to present the goals for the upcoming fiscal year.

ANALYSIS:

As part of the proposed agreement, the Chamber will continue initiatives that support business engagement, economic vitality, tourism promotion, and community development. These efforts include the Business Connect Program, Business Roundtables, the City's AmeriCorps 286
Management Fellow program, support of the annual State of the City event, and coordination of community and business recognition events, including Cruise Night, Chamber Awards, Best of the Heritage Valley Awards, grand openings, ribbon cuttings, and Coffee with the Cops.

The proposed agreement includes expanded collaboration with the City on implementation of a Business Welcome Team and Business Welcome Toolkit to support business attraction and investment, as well as promotion of Santa Paula as a film-friendly destination through the Chamber's role as the City's official Film Liaison. In addition, the Chamber recently completed a feasibility analysis evaluating opportunities for a full-service Visitor Center. Together, these efforts support ongoing collaboration between the City and Chamber to evaluate opportunities that advance economic development, tourism, and community vitality goals.

STRATEGIC PLAN:

Approval of this item moves the City closer to completing several objectives contained within City Council’s two-year Strategic Plan, Section B. Economic Development with the goal of enhancing the economic vitality of the community through measures targeted towards development and business retention and expansion and attraction, resulting in diverse housing options, increased revenue generation, job creation, and a business-friendly community.

FISCAL IMPACTS:

Funds for this professional services agreement have been budgeted for in the amount of $30,000 for FY26/27 under Economic Development GL 100-5-3002-223.

OPTIONS:

City Council has the following available alternative options to staff’s recommendation:

1. Direct staff to make further revisions to the Chamber's scope of work; or

2. Do not enter into an agreement with the Chamber of Commerce; or

3. Provide alternate direction to staff.
