RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING THE FIFTH AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH SANTA ROSA CHAMBER OF COMMERCE WHEREAS, on March 7, 2016, the City and Chamber entered into an agreement for the Chamber to act as the Downtown Merchant Association by providing event production, beautification efforts, selling parking validation vouchers and creating an information kiosk to service downtown visitors; and WHEREAS, City and Chamber entered into the First Amendment on January 12, 2017, for the purpose of providing funding to promote downtown businesses and address downtown merchant needs during the holiday season and Courthouse Square reunification; and WHEREAS, City and Chamber entered into the Second Amendment on May 22, 2017, to provide event coordination services for the Sesquicentennial Celebration; and WHEREAS, City and Chamber entered into the Third Amendment on August 29, 2017, for the purpose of increasing compensation under the Agreement for the continuation of services; and WHEREAS, City and Chamber entered into the Fourth Amendment on May 1, 2018, for the purpose of increasing compensation to provide final event coordination services for the Sesquicentennial Celebration; and WHEREAS, City and Chamber now desire to amend the Agreement for the purpose of revising the Scope of Services to include administration of Courthouse Square events and activities, increasing the Compensation by $28,440 and extending the Time of Performance to December 31, 2022. / / /

NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Fifth Amendment to Professional Services Agreement Number F001128 with Santa Rosa Chamber of Commerce, attached to this resolution as Exhibit A and made a part of herein, in the amount of $28,440 and a total contract amount not to exceed $298,640.
