RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING A FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NUMBER F001345 WITH PERFECTMIND INC., BRITISH COLUMBIA, FOR A HOSTED RECREATION MANAGEMENT SYSTEM WHEREAS, in 1999 the City implemented the CLASS Recreation Management System to perform activity registrations, facility reservations, point of sale transactions, financial reporting, cash tracking and online registration in the Recreation and Parks Department; and WHEREAS, the parent company of the CLASS software, Active Network, LLC, ceased technical support for the CLASS system on December 31, 2017; and WHEREAS, an RFP was conducted and Perfectmind Inc. of British Columbia, Canada was determined to be the most qualified responder; and WHEREAS, on February 7, 2017, by Resolution RES-2017-016 Council approved Professional Services Agreement Number F001345 with Perfectmind Inc. that included an option to extend the agreement by 5-years.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves a First Amendment to Professional Services Agreement Number F001345 with Perfectmind Inc., in substantially the same form as Exhibit A to the resolution, subject to approval as to form by the City Attorney extending the agreement by five-years and increasing compensation by $341,100, for a total not to exceed amount of $711,340.
