RESOLUTION NO. RES-2023-005
RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING THE FIFTH AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NUMBER F001005 BETWEEN THE CITY OF SANTA ROSA AND PASSPORT LABS, INC., A DELAWARE CORPORATION WHEREAS, On August 31, 2015, the City entered into a Professional Services Agreement with Passport Labs, Inc., a Delaware Corporation to provide digital billing, transaction and management service for the payment of parking meters via mobile phone and the City subsequently amended the agreement four times to address term, compensation and scope of work among other contractual matters; and WHEREAS, the City desires to approve a Fifth Amendment extending the agreement in perpetuity; and WHEREAS, the agreement will be agreed upon annually by both parties; and WHEREAS, the City desires to increase compensation by $50,000 for a total contract amount not to exceed $150,000.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Fifth Amendment to Professional Services Agreement Number F001005 between the City of Santa Rosa and Passport Labs, Inc., a Delaware Corporation, in substantially the same form as Exhibit A to the resolution, subject to approval as to form by the City Attorney, to provide digital billing, transaction, and management services for the payment of parking meters via mobile phone.
