RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING THE FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NUMBER F0021701A WITH WORKCARE, INC. FOR WELLNESS SERVICES FOR THE POLICE DEPARTMENT WHEREAS, the City of Santa Rosa has determined that a wellness program for the Police department has helped to prevent injuries and illness; and WHEREAS, a wellness program has potential to return $3 to $5 dollars for every dollar spent; and WHEREAS, on June 30, 2020, Council adopted Resolution No. RES-2020-096 approving a Professional Services Agreement with Wellness Solutions, Inc. in the amount of $500,000 for a wellness program for five years; and WHEREAS, in 2021, Wellness Solutions, Inc. merged with WorkCare, Inc. to provide wellness services under WorkCare, Inc.; and WHEREAS, an Assignment and Assumption of Professional Services Agreement Number F002170 and Consent to Assignment was executed by Wellness Solutions, Inc. as assignor and WorkCare, Inc. as assignee on June 29, 2022; and WHEREAS, the Police Department has determined that it would be a benefit to increase the on-site Wellness Director to 40 hours per week and desires to amend the agreement to add compensation and extend time of performance under the agreement for one year.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the First Amendment to Professional Services Agreement Number F0021701A with WorkCare, Inc., in the amount of $205,000, for a total contract amount not to exceed $705,000 and extending time of performance through June 30, 2026, in substantially the same form as Exhibit A to the resolution, subject to approval as to form by the City Attorney. / / /

BE IT FURTHER RESOLVED that Council authorizes the Chief Financial Officer to pay all proper claims from various keys.
