RESOLUTION NO. RES-2023-024
RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING THE FOURTH AMENDMENT TO GENERAL SERVICES AGREEMENT NUMBER F001690 WITH ARBORICULTURAL SPECIALTIES, INC.
WHEREAS, on May 8, 2018, by Resolution RES-2018-069, Council approved General Services Agreement Number F001690 with Arboricultural Specialties, Inc., Berkeley, California for tree care services, for a one-year term with four (4) one-year extension options in the amount of $600,000; and WHEREAS, on February 13, 2019, the Purchasing Agent approved the First Amendment to extend the term of the Agreement; and WHEREAS, on March 12, 2020, the Purchasing Agent approved the Second Amendment to extend the term of the Agreement; and WHEREAS, on January 25, 2021, the Purchasing Agent issued a letter of extension to extend the term of the Agreement; and WHEREAS, on January 4, 2022, the Purchasing Agent issued a letter of extension to extend the term of the Agreement; and WHEREAS, on October 20, 2022, the Assistant City Manager approved the Third Amendment to increase compensation in the amount of $100,000; and WHEREAS, the City desires to approve the Fourth Amendment to the General Services Agreement F001690 to increase compensation payable under the agreement in an amount not to exceed $300,000.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Fourth Amendment to General Services Agreement Number F001690 substantially in the form attached as Exhibit A, subject to approval by the City Attorney, with Arboricultural Specialties, Inc., increasing compensation by $300,000, for a total amount not to exceed $1,000,000. / / /

BE IT FURTHER RESOLVED that the Council authorizes the Chief Financial Officer to pay all proper claims for the Agreement, as amended, out of various department’s funds.
