RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING A SECOND AMENDMENT TO GENERAL SERVICES AGREEMENT NUMBER F002071 WITH MATRIX HG, INC. EXTENDING THE TERM OF THE CONTRACT AND INCREASING COMPENSATION WHEREAS, on February 11, 2020, the City entered into General Services Agreement number F002071 with Matrix HG, Inc., Concord, California for HVAC maintenance services, for a two-year term with three (3) one-year extension options in the amount of $112,842.84; and WHEREAS, on March 21, 2022, the City Manager approved the First Amendment to extend the term of the Agreement and increase compensation in the amount of $56,975.57; and WHEREAS, the City desires to approve the Second Amendment to the General Services Agreement to extend for an additional one-year term and increase compensation payable under the Agreement in the amount not to exceed $65,806.22; and WHEREAS, approval of a second amendment is exempt from the provisions of the California Environmental Quality Act (CEQA) under CEQA Guidelines Section 15061(b)(3) and 15378 in that there is no possibility that the implementation of this action may have significant effects on the environment, and no further environmental review is required.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Second Amendment to General Services Agreement Number F002071 with Matrix HG, Inc., extending the term and increasing compensation by $65,806.22, in substantially the form attached hereto as Exhibit A, subject to approval as to form by the City Attorney’s Office, for a total amount not to exceed $235,624.63. / / /

BE IT FURTHER RESOLVED that the Council authorizes the Chief Financial Officer to pay all proper claims for this Agreement, as amended, out of various Department Funds.
