FIRST AMENDMENT
TO MASTER PROFESSIONAL SERVICES AGREEMENT WITH WEST YOST ASSOCIATES
FOR EMERGENCY GROUNDWATER SUPPLY INVESTIGATION, WELL SITING, DESIGN
AND CONSTRUCTION MANAGEMENT SERVICES
AGREEMENT NUMBER A010099
This First Amendment to Agreement Number A010099, dated July 24, 2014 ("Agreement") is made as of this _____ day of ______, 2023, by and between the City of Santa Rosa, a municipal corporation ("City"), and West Yost Associates, a California corporation ("Consultant").
RECITALS
A. City and Consultant entered into the Agreement for Consultant to provide Emergency Groundwater Supply Investigation, Well Siting, and Design and Construction Management Services.
B. City and Consultant now desire to amend the Agreement for the purpose of increasing the not to exceed amount from $3,500,000 to $5,000,000. This will allow for completion of existing projects, including potential cost increases and/or new work tasks that may be necessary to complete four open projects being implemented under the current MPSA..
AMENDMENT
NOW, THEREFORE, the parties agree to amend the Agreement as follows:
1. Section 2. Compensation
Section 2(d) is amended to increase the compensation payable to Consultant under the Agreement by $1,500,000 to read as follows:
"Notwithstanding any other provision in this Agreement to the contrary, the total cumulative maximum compensation to be paid for the satisfactory accomplishment of tasks performed by Consultant under this Agreement, which includes the cumulative amount of all Project Work Orders, shall in no event exceed the sum of five million dollars ($5,000,000).”
All other terms of the Agreement shall remain in full force and effect.
