RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA WAIVING COMPETITIVE BIDDING PURSUANT TO SECTION 3-08.100(D) OF THE SANTA ROSA CITY CODE AND APPROVING A SMALL ENTERPRISE AGREEMENT RENEWAL WITH ENVIRONMENTAL SYSTEMS RESEARCH INSTITUTE, INC. (ESRI) FOR GIS SOFTWARE WHEREAS, Environmental Systems Research Institute, Inc. (ESRI) provides the Geographic Information System (GIS) software used to create all internal and public-facing maps in use by the City; and WHEREAS, ESRI’s tools provide the analysis engine behind spatial models used to assess and improve city services; and WHEREAS, the City Council approved a 3-year Small Enterprise Agreement with ESRI on August 3, 2021, by Resolution No. RES-2021-137, through August 16, 2024; and WHEREAS, the City would like to extend this agreement for an additional six (6) years. The continued use of the ESRI small enterprise agreement will allow the City to use ESRI’s tools at a lower overall cost; and WHEREAS, Section 3-08.100(D) of the City Code provides that purchases of supplies, material, equipment and services may be made without recourse to competitive bidding requirements where the source of supply, necessary restrictions in specifications, necessary standardization, quality considerations, or other valid reasons for waiving competition appears; and WHEREAS, ESRI is the only vendor available for GIS software and sells their software and support directly to end-users.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa waives competitive bidding pursuant to Section 3-08.100(D) of the Santa Rosa City Code. ///

BE IT FURTHER RESOLVED by the Council that it approves the Small Enterprise Agreement renewal with Environmental Systems Research Institute, Inc. (ESRI) in the amount of $1,099,800 for the new six (6) year term, through August 16, 2030, in substantially the same form as Exhibit A hereto, subject to approval as to form by the City Attorney, for a cumulative contract amount not to exceed $2,044,800.
