RESOLUTION NO. RES-2024-178
RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING A SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NUMBER F001838 WITH JPMORGAN CHASE BANK N.A., SAN FRANCISCO, CALIFORNIA, TO PROVIDE GENERAL BANKING SERVICES WHEREAS, the City has a need for banking and depository services; and WHEREAS, on September 4, 2018, Council approved by Resolution No. RES-2018-158, a Professional Services Agreement Number F001828 with JPMorgan Chase Bank, N.A.; and WHEREAS, on December 12, 2023, the City Manager approved the First Amendment to Professional Services Agreement Number F00182; and WHEREAS, general banking services are required for daily operations by the City of Santa Rosa and it is recommended that Council approve a second amendment to extend the agreement through September 4, 2028 and increasing total compensation.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Second Amendment to Professional Services Agreement Number F001838 with JPMorgan Chase Bank, N.A. for a four-year term, in an amount not to exceed $600,000, including the original term of the Agreement and First Amendment, in substantially the same form as Exhibit A to the resolution, subject to approval as to form by the City Attorney.
BE IT FURTHER RESOLVED that Council authorizes the City Manager or her designee to sign all related contractual documents, subject to approval as to form by the City Attorney.
