RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA TO APPROVE THE SECOND AMENDMENT TO BLANKET PURCHASE ORDER 169264 TO EXTEND THE TERM ONE-YEAR AND INCREASE COMPENSATION WITH IRIS GROUP HOLDINGS LLC, DBA EVERON, LLC WHEREAS, the City utilizes a licensed contractor to perform inspections, routine testing, maintenance, and repair of fixed fire suppression systems to maintain compliance with all applicable National Fire Protection Association (NFPA) Standards; and WHEREAS, on April 25, 2023, the City Council approved the issuance of a two-year Blanket Purchase Order (BPO) with three (3) one-year extension options to The ADT Security Corporation, dba ADT Commercial LLC, utilizing the pricing from the OMNIA Partners Cooperative Agreement Number R220701 for a total amount not to exceed $185,000 with a 10% contingency in the amount of $18,500; and WHEREAS, on May 21, 2024, the City manager approved the First Amendment to BPO 169264 to add compensation in the amount not to exceed $75,000; and WHEREAS, on July 19, 2024, the City was notified that the company name had changed from The ADT Security Corporation, dba ADT Commercial LLC to Iris Group Holdings LLC, dba Everon LLC; and WHEREAS, Iris Group Holdings LLC, dba Everon LLC has provided the City with an extension proposal with an average 13.43% increase in inspection cost; and WHEREAS, City staff has determined that it is in the best interest of the City to extend BPO 169264 for one-year and increase compensation. / / /

NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Second Amendment to BPO 166264 to extend the term one year and increase compensation in the amount of $125,000 for a total not to exceed amount of $403,500.
