SECOND AMENDMENT
TO PROFESSIONAL SERVICES AGREEMENT NUMBER F002776
WITH BURKE, WILLIAMS & SORENSEN, LLP
This Second Amendment to Agreement Number F002776 ("Agreement") is made and effective as of this ___ day of ____________, 2025, by and between the City of Santa Rosa, a municipal corporation ("City"), and Burke, Williams & Sorensen, LLP ("Consultant").
RECITALS
City and Consultant entered into a Professional Services Agreement (PSA) for Consultant to provide general municipal legal services as directed by the City Attorney effective November 6, 2023 in an amount not to exceed $50,000 (PSA F002776).
On January 8, 2025, City and Consultant executed a First Amendment to the PSA to allow for provision of continued legal services, in an amount not to exceed $50,000, for a total not to exceed amount of $100,000.
City and Consultant now desire to enter into a Second Amendment to the PSA to increase the compensation payable to consultant by an additional $50,000, for a total not to exceed amount of $150,000, for the purpose of continued legal services.
AMENDMENT
NOW, THEREFORE, the parties agree to amend the Agreement as follows:
Section 2. Compensation
Section 2(c) is amended to increase the compensation payable to Consultant under the Agreement by $50,000 to read as follows:
"Notwithstanding any other provision in this Agreement to the contrary, the total maximum compensation to be paid for the satisfactory accomplishment and completion of all tasks set forth above shall in no event exceed the sum of One Hundred Thousand Dollars and no cents ($150,000). The City’s Chief Financial Officer is authorized to pay all proper claims from various charge numbers.” All other terms of the Agreement shall remain in full force and effect.
