RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING AWARD OF SOFTWARE SUBSCRIPTION AGREEMENT F003155 FOR EDISCOVERY SOFTWARE SYSTEM TO REVEAL DATA CORPORATION; APPROPRIATIONS IN THE AMOUNT OF $124,848 FROM THE INFORMATION TECHNOLOGY CONTINGENCY RESERVES; AND AUTHORIZING THE CITY MANAGER OR ASSISTANT CITY MANAGER TO NEGOTIATE AND EXECUTE THE AGREEMENT WHEREAS, the City of Santa Rosa has identified the need for an eDiscovery solution to address the increased volume and complexity of public records requests under the California Public Records Act; and WHEREAS, Request for Proposals 25-17 was solicited by the City of Santa Rosa Purchasing Division; and WHEREAS, following a thorough review by a qualified selection panel, Reveal Data Corporation was recommended to provide an eDiscovery software subscription; and WHEREAS, staff seeks Council approval of Software Subscription Agreement F003155 for a five-year period, with five one-year renewal options, for a total not-to-exceed amount under the Agreement of $624,240, and a $100,000 contingency amount for miscellaneous charges.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves a Software Subscription Service Agreement F003155 for a five-year period, with five one-year renewal options, for a total not-to-exceed amount under the Agreement of $624,240, and a $100,000 contingency amount for miscellaneous charges.
BE IT FURTHER RESOLVED that the Council approves appropriations in the amount of $124,848 for the initial FY2025-26 subscription year allocated from the Fund 1730 Information Technology Contingency Reserves to Enterprise Software Support (GL Key 350307), and in the years FY2026-2027 through FY2029-2030 the annual costs will be included in the Information Technology department budget for Enterprise Software Support (GL Key 350307), presented to City Council as part of the annual budget process. / / /

BE IT FURTHER RESOLVED that the Council authorizes the City Manager or Assistant City Manager to negotiate, make non-substantive changes to the Agreement, subject to approval by the City Attorney, and to execute all documents necessary to effect the Agreement.
