RESOLUTION OF THE COUNCIL OF THE CITY OF SANTA ROSA APPROVING THE AMENDED AND RESTATED JOINT EXERCISE OF POWERS AGREEMENT OF THE SANTA ROSA PLAIN GROUNDWATER SUSTAINABILITY AGENCY WHEREAS, the Santa Rosa Plain Groundwater Sustainability Agency (SRPGSA) is a joint powers authority formed pursuant to the Joint Exercise of Powers Act, California Government Code Section 6500 et seq., and the Joint Exercise of Powers Agreement that became effective on May 25, 2017 (Existing Agreement); and WHEREAS, the City of Santa Rosa is a member agency of the SRPGSA; and WHEREAS, the SRPGSA is governed by a Board of Directors (SRPGSA Board) and bylaws that facilitate the governance and administration of the SRPGSA; and WHEREAS, on June 11, 2026, the SRPGSA Board approved proposed amendments to the Existing Agreement, subject to approval by the governing bodies of all SRPGSA member agencies, and separately approved amendments to the bylaws; and WHEREAS, Section 12.02 of the Existing Agreement requires amendments to be approved by the unanimous consent of the SRPGSA member agencies acting through their respective governing bodies; and WHEREAS, the proposed Amended and Restated Joint Exercise of Powers Agreement would clarify governance provisions, improve administrative efficiency, and provide greater operational and procedural flexibility for the SRPGSA; and WHEREAS, approval of the Amended and Restated Joint Exercise of Powers Agreement is not a “project” subject to the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15378(b)(5) because it is an organizational and administrative action that will not result in a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment; and WHEREAS, in the alternative, the recommended action is exempt from CEQA pursuant to CEQA Guidelines Section 15061(b)(3) because it can be seen with certainty that there is no possibility that the action may have a significant effect on the environment.
NOW, THEREFORE, BE IT RESOLVED that the Council of the City of Santa Rosa approves the Amended and Restated Joint Exercise of Powers Agreement for the Santa Rosa Plain Groundwater Sustainability Agency, attached hereto as Exhibit A.
BE IT FURTHER RESOLVED that the Council finds that the recommended action is not a project subject to CEQA pursuant to CEQA Guidelines Section 15378(b)(5) and, in the alternative, is exempt from CEQA pursuant to CEQA Guidelines Section 15061(b)(3).
BE IT FURTHER RESOLVED that the Council authorizes the City Manager to execute the Amended and Restated Joint Exercise of Powers Agreement of the Santa Rosa Plain Groundwater Sustainability Agency, attached to this resolution as Exhibit A and made a part of herein, subject to approval as to form by the City Attorney.
