SIXTH AMENDMENT TO THE PLUMBING REPAIRS AND MAINTENANCE

SERVICES AGREEMENT BETWEEN CITY OF SANTEE AND
COUNTYWIDE MECHANICAL SYSTEMS, INC.

This SIXTH Amendment to the 2022 Plumbing Repairs and Maintenance Services Agreement ("Amendment") is between the City of Santee, a California charter city ("City"), and Countywide Mechanical Systems, Inc., a California corporation ("Contractor") and will become effective on October 1, 2026 for the period of time and on the terms set forth below.

RECITALS
A. WHEREAS, on November 1, 2022, the Parties entered into a Plumbing Repairs and Maintenance Services Agreement ("Agreement"); and
B. WHEREAS, since then, the Parties have amended the Agreement five times to either define extra work, adjust Contractor’s rate schedule, or exercise an option to extend the term of the Agreement; and
C. WHEREAS, all extension options expressly provided in Section 6 of the Agreement have now been exercised, and the Agreement will expire on September 30, 2026 unless otherwise lawfully amended; and
D. WHEREAS, the City is preparing a new competitive solicitation for Plumbing maintenance and repair services but will not be able to complete the solicitation, selection, negotiation, approval, and transition process before the Agreement expires; and
E. WHEREAS, a lapse in plumbing maintenance services could impair the operation of City facilities, increase the risk of damage to City equipment and property, and adversely affect employees and members of the public using those facilities; and F. WHEREAS, Santee Municipal Code (SMC) Section 3.24.090(B) authorizes City Council to approve a procurement method not otherwise listed in the SMC due to special circumstances, when a prescribed method is impractical or impossible, or when it is in the City’s best interests to do so; and
G. WHEREAS, a limited three-month bridge agreement with the incumbent Contractor will preserve continuity of service while the City completes the competitive procurement, conducting a separate formal procurement solely for the bridge period would be impractical, would duplicate the pending competitive procurement, and would be unlikely to permit a reasonable transition before September 30, 2026; and
H. WHEREAS, special circumstances exist to enter into this Sixth Amendment to the Agreement to provide a three-month bridge between the City’s current and future Docusign Envelope ID: 3DB4985D-8638-860D-82C5-BD2708DD8759 2 60139.00001\45391270.1
plumbing maintenance services agreements, and it is in the City's best interests to do so; and
I. WHEREAS, the bridge term is limited to October 1, 2026 through December 31, 2026; does not expand the scope of the Agreement; does not authorize any further renewal or extension, and requires Contractor to continue performing at the rates in effect on September 30, 2026; and
J. WHEREAS, the Parties now desire to amend the Agreement solely to provide uninterrupted plumbing maintenance services during the bridge period while the City completes its competitive procurement.

NOW THEREFORE, the Parties Agree as Follows:

1. Bridge Term. Notwithstanding Section 6 of the Agreement, the term of the Agreement is extended for one limited bridge period beginning October 1, 2026 and ending automatically at 11:59 p.m. on December 31, 2026 ("Bridge Term"), unless terminated earlier in accordance with the Agreement. The City is authorized to contract for services during this Bridge Term through an alternative procurement approved by the City Council.

2. Services. During the Bridge Term, Contractor will continue to perform only the plumbing maintenance, scheduled filter changes, as-needed repairs, and other services within the existing scope of the Agreement. This Amendment does not authorize a material expansion of that scope, a capital improvement, or Extra Work that otherwise requires separate written authorization under the Agreement and applicable law.

3. Compensation.
a. The rates and pricing terms in effect under the Agreement on September 30, 2026 will remain firm and unchanged throughout the Bridge Term. b. Total compensation for all services performed during the Bridge Term must not exceed Fifteen Thousand Eighty-Two Dollars and Ninety-Two Cents ($15,082.92), which amount has been budgeted and appropriated by the City. c. Contractor will invoice only for services authorized and satisfactorily performed during the Bridge Term. No compensation is authorized for services performed after December 31, 2026.

4. Continued Compliance. As conditions of this Amendment and any work during the Bridge Term, Contractor must maintain all licenses, City business-license requirements, Department of Industrial Relations registration, insurance coverage, endorsements, bonds, prevailing-wage compliance, indemnity obligations, and other qualifications required by the Agreement and applicable law. Before October 1, 2026, Contractor must provide evidence satisfactory to the City that all time-limited insurance and bond coverage extends through the Bridge Term.

5. No Further Extension. The Agreement will expire automatically on December 31, 2026. Contractor acknowledges that this Amendment creates no right or expectation of any additional renewal, extension, follow-on contract, or award under the City's pending solicitation.

Any services after December 31, 2026 require a separately authorized and executed City contract.

6. No Other Changes. Except for the changes specifically set forth in this Amendment and previous amendments, all other terms and conditions of the Agreement remain in full force and effect. If there is a conflict between this Amendment and the Agreement or an earlier amendment, this Amendment controls solely with respect to the Bridge Term and compensation authorized for that term.
