FIRST AMENDMENT TO
AGREEMENT FOR DESIGN SERVICES
Parties and Date.
This First Amendment to the Agreement for Design Services (“First Amendment”) is entered into on the 25th day of July, 2023 by and between the City of Signal Hill, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 2175 Cherry Avenue Signal Hill, CA 90755 (“City”) and SWA Group, Inc. a California Corporation, with its principle place of business at 811 W. 7th Street 8th floor, Los Angeles, CA 90017 ("Consultant"). City and Consultant are sometimes individually referred to herein as “Party” and collectively as “Parties.” Recitals.
Agreement. The Parties entered into that certain Agreement for Design Services dated January 10th, 2023 whereby consultant agreed to provide professional architectural design services for the Citywide Median Landscape and Irrigation Design Project through July 16, 2023 for the not-to-exceed sum of $174,680 (“Agreement”).
First Amendment. The Parties now desire to amend the Agreement in order to extend the term of the Agreement.
Terms.
Term. Section 3.1.2 of the Agreement is hereby amended in its entirety to read as follows:
“The term of this Agreement shall be from January 16, 2023 to May 30, 2024, unless earlier terminated as provided herein. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines.” Scope of Services. Paragraph 1 of Exhibit “A” of the Agreement is hereby amended in part to add the following:
“Consultant shall complete Tasks 1, 2, 3, 4, 5, and 6 herein prior to November 11, 2023.” Remaining Provisions of Agreement. Except as specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
