SECOND AMENDMENT
AGREEMENT
BY AND BETWEEN
SIGNAL HILL
AND
GOVINVEST, INC.
This Second Amendment to the Agreement dated June 6th, 2023, by and between Signal Hill, CA, hereinafter referred to as “CUSTOMER,” and GovInvest, Inc., a Delaware corporation, hereinafter referred to as “COMPANY,” is entered into on February 5th, 2024
WHERE AS, the parties now desire to amend certain provisions of the Agreement to adjust the term and scope of services.
NOW THEREFORE, the parties hereto mutually agree to adjust the Agreement as follows:
Scope of Work:
1. 24 Months of access to GovInvest Annual GASB 75 and GASB 68 Reporting that will include the following services in the scope of work detailed in Exhibit A
2. Term: 24 Months Starting 2/5/2024
3. The CUSTOMER agrees to increase the service fee in the original agreement by up to $10,200. Payment due upon services rendered.
4. It is understood this Second Amendment is bound and subject to all the provisions in the Agreement, and those remain in full force and effect through the end of the term in the original Agreement.
Except as specifically modified herein, the Agreement dated June 6th, 2023, and all provisions contained therein, shall remain in full force and effect. In the event of a conflict between the provisions of this Second Amendment and the original Agreement, the provisions of this Second Amendment shall govern.
