FIRST AMENDMENT TO
AGREEMENT FOR GENERAL SERVICES
BY AND BETWEEN THE CITY OF SIGNAL HILL
AND FIREFLY DRONE SHOWS, LLC
1. PARTIES AND DATE.
This First Amendment to the Agreement for aerial drone services (“First Amendment”) is entered into on the 23rd day of April, 2024, by and between the City of Signal Hill, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 2175 Cherry Avenue Signal Hill, CA 90755 (“City”) and Firefly Drone Shows, LLC, a corporation, with its principal place of business at 5105 Williams Lake Road, Waterford, MI, 48329 (“Contractor”). City and Contractor are sometimes individually referred to as “Party” and collectively as “Parties” in this Agreement.
2. RECITALS
1.1 The Parties entered into a General Services Agreement effective February 28, 2024 in which Contractor agreed to provide aerial drone services to the City (“Agreement”).
1.2 Section 3.3.1 “Compensation” of the Agreement provides in relevant part, that the Contractor shall be compensated under the terms of the Agreement in a total amount not to exceed sixty thousand dollars ($60,000), without written approval of the City’s City Manager.
1.3 Pursuant to Section 3.5.13 “Amendment; Modification” of the Agreement, the Parties may amend the Agreement upon a writing signed by both Parties.
1.4 The Parties now desire to amend the Agreement in order to increase the total amount of compensation under the Agreement by twenty thousand dollars ($20,000), for a total not-to-exceed amount of eighty-thousand dollars ($80,000).
2. TERMS.
2.1 NOW THEREFORE, in consideration of the foregoing recitals, mutual understandings, and other good, valuable and sufficient consideration, the City and Contractor agree as follows: Incorporation of Recitals. The City and Contractor acknowledge that the above recitals are true and correct, and incorporate those recitals by reference into this First Amendment.
2.2 Compensation. City and Contractor agree to amend Section 3.3.1 ““Compensation” of the Agreement to read in full as follows:
Compensation. Contractor shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement.at the rates set forth in Exhibit “C” attached hereto and incorporated by reference. The total compensation shall not exceed eighty thousand dollars ($80,000) without written approval of City’s City Manager. This amount is to cover all related costs, including but not limited to for customized show design, planning, permits, and execution of the show including day-of presentation and cleanup as well as collaboration with local community partners for drone placement and staging.

2.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
