SECOND AMENDMENT TO
AGREEMENT FOR DESIGN SERVICES
Parties and Date.
This Second Amendment to the Agreement for Design Services (“First Amendment”) is entered into on the 28th day of May, 2024 by and between the City of Signal Hill, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 2175 Cherry Avenue Signal Hill, CA 90755 (“City”) and SWA Group, Inc. a California Corporation, with its principle place of business at 811 W. 7th Street 8th floor, Los Angeles, CA 90017 ("Consultant"). City and Consultant are sometimes individually referred to herein as “Party” and collectively as “Parties.” Recitals.
Agreement. The Parties entered into that certain Agreement for Design Services dated January 10th, 2023 whereby consultant agreed to provide professional architectural design services for the Citywide Median Landscape and Irrigation Design Project through July 16, 2023 for the not-to-exceed sum of $174,680 (“Agreement”).
First Amendment. On July 25, 2024 the Parties amended the agreement in order to extend the term of the agreement to May 30,2024.
Second Amendment. The Parties now desire to amend the Agreement in order to extend the term of the Agreement and increase the consultant’s compensation by $4,320 for a total Contract Sum of $179,000.
Terms.
Term. Section 3.1.2 of the Agreement is hereby amended in its entirety to read as follows:
“The term of this Agreement shall be from January 16, 2023 to June 30, 2024, unless earlier terminated as provided herein. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines.” Compensation. Section 3.10.1 of the Agreement is hereby amended in its entirely to read as follows:
“City shall pay to Consultant, for the performance of all Services rendered under this Agreement, the total not to exceed amount of One Hundred Seventy Nine Thousand Dollars ($179,000) (“Total Compensation”). This Total Compensation amount shall be based upon, and may be adjusted according to, the fee schedule and related terms and conditions attached hereto as Exhibit “B” and incorporated herein by reference. The Total Compensation, as may be adjusted upon mutual agreement, shall constitute complete and adequate payment for Services under this Agreement.” Remaining Provisions of Agreement. Except as specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
