Subject: Agreement for Professional Consulting Services between City of Signal Hill and Michael Baker International- Discretionary Term Extension
Dear Mr. Warot,
Please consider this letter as confirmation of our mutual agreement to extend the term of the Agreement for Professional Consulting Services between the City of Signal Hill and Michael Baker International for a period of 180 days beginning June 30, 2024 and now expiring on December 27, 2024, thereby exercising the “Term Contingency” in accordance with Section 3.1.2, of the Agreement, which states:
“Term. The term of this Agreement shall be from September 29, 2021 to June 30, 2024, unless earlier terminated as provided herein. The City shall have the option, with mutual approval of Consultant, to renew this Agreement automatically for no more than two additional one-year terms. The term may be extended up to 180 calendar days (“Term Contingency”) at the sole discretion of the City. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines.”
Please note that with the exception of this term extension, all other provisions of the Agreement remain unchanged and shall continue in full force and effect, including but not limited to the total compensation under the Agreement.
