FIRST AMENDMENT TO
AGREEMENT FOR PURCHASE AND INSTALLATIION SERVICES

Parties and Date.
This First Amendment to the Agreement for Purchase and Installation Services (“First Amendment”) is made effective this 9th day of June, 2026, by and between the City of Signal Hill, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 2175 Cherry Avenue Signal Hill, CA 90755 (“City”) and Mohawk Commercial, Inc., a California Corporation, with its principal place of business at 160 South Industrial Blvd., Calhoun, GA 30701 (“Contractor”). City and “Contractor” are sometimes individually referred to herein as “Party” and collectively as “Parties.” Recitals.
Agreement. The Parties entered into that certain Agreement for Purchase and Installation Services dated October 14, 2025 (“Agreement”) with an initial term expiring on March 6, 2026 and total compensation not-to-exceed $157,353.74.
Discretionary Term Extension. Due to unforeseen circumstances on the Project unrelated to the Agreement but which delayed the completion of the Work by March 6, 2026, the Acting Public Works Director authorized a discretionary extension of the term pursuant Section 3.1 of the Agreement, thereby extending the term of the Agreement by 120 calendar days to expire on July 4, 2026.
First Amendment. The Parties now desire to amend the Agreement in order to restate the term of the Agreement and increase the total amount of compensation under the Agreement not to exceed $167,543.10.
Terms.
Term. Section 3.1 of the Agreement is hereby amended in its entirety to read as follows:
“The term of this Agreement shall commence on October 20, 2025, and conclude on July 4, 2026. The term may be administratively extended up to 60 calendar days (“Term Contingency”) at the sole discretion of the City. Contractor shall complete the Work within the term of this Contract and shall meet any other established schedules and deadlines.” Amount of Compensation. Section 3.9.1 of the Agreement is hereby amended in its entirety to read as follows:
“As consideration for performance of the Work required herein, City agrees to pay Contractor the Total Contract Price of ONE HUNDRED SIXTY-SEVEN THOUSAND FIVE HUNDRED FORTY-THREE DOLLARS and TEN CENTS ($167,543.10).” Schedule of Compensation. Exhibit “B” of the Agreement is hereby amended in it entirety and replaced in the form of Attachment “1” to this First Amendment, attached hereto and incorporated herein by reference.
Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
