BACKGROUND AND OVERVIEW
S
imi Valley Transit (SVT) secured $4,800,000 in funding from the California State Transportation Agency Transit and Intercity Rail Capital Program (TIRCP), matched with $1,200,000 in local Transportation Development Act Article 4 (TDA) funds , for a total of $6,000,000. The funds will be used for the acquisition of six (6) battery electric buses approved by the City Council on September 25, 2023.
The acquisition of six (6) battery electric buses will replace the City’s six (6) compressed natural gas (CNG) buses, each of which is expected to reach its useful life benchmark by the time the new battery electric buses are delivered. The City’s CNG buses have been experiencing a high frequency of costly repairs . According to Federal T ransit Administration (FTA) regulations, heavy-duty buses that have reached twelve (12) years of service and/or accumulated 500,000 miles must be replaced. This replacement also AGENDA ITEM NO.
Consent (7)
TRAN2506.SR.MG
aligns with the City’s Zero Emission Bus Rollout Plan , which was submitted to the California Air Resource Board in compliance with the California Innovative Clean Transit (ICT) regulation . The ICT regulation mandates that small transit agencies begin transitioning to zero-emission buses starting in 2026.
FINDINGS AND ALTERNATIVES
The City is a member of CALACT, a cooperative purchasing organization that provides competitively bid contracts that are compliant with federal and state procurement regulations. This cooperative allows the City to select vehicles that best meet its transi t needs. Transit can acquire six (6) battery electric replacement transit buses through CALACT/MBTA Contract No. 23-01 New Flyer, awarded to New Flyer of America, Inc. on July 31, 2024. The initial term of the cooperative contract is for one year , with optional four (4), one (1) year extensions. The contract currently expires on July 31, 2025.
Transit staff scrutinized the available necessary features to improve the City’s fixed-route transit service and received the Best and Final Offer from New Flyer of America, Inc. for the six (6) battery electric replacement transit buses . The total acquisition cost is $8,499,359.56 ($1,416,559.93 per bus). This amount includes the pricing for the vehicles and projected tariffs based on New Flyer of America, Inc.’s best knowledge at the time of this proposal. The actual tariff cost will be calculated and invoiced separately once the buses are queued for production. The City must remit tariff payment within fifteen (15) days of receiving the invoice from New Flyer of America, Inc. to comply with federal mandates.
The proposed delivery of the six (6) battery electric buses is scheduled for the second quarter of 2026. T ransit received the CALACT Assignment to Purchase Agreement #23-01-1184 from CALACT dated April 11, 2025, which may be exercised at any time on or before July 31, 2025. The capital project budget (CP75000015) currently does not have sufficient funds to cover the acquisition cost . Staff is requesting approval of a supplemental budget request with an interfund transfer of $2,499,359.56 from the Transit Fund (Fund 750) to the Local Transportation Fund (Fund 238) . There are no General Fund monies being used for this purchase.
Staff recommends that the City Council authorize the City Manager to execute and issue a purchase order to New Flyer of America, Inc. for $8,499,359.56 for the acquisition of six (6) battery electric replacement transit buses.
The following alternatives are available to the City Council:
1. Authorize the City Manager to execute and issue a purchase order for $8,499,359.56 to New Flyer of America, Inc. for the acquisition of six (6) battery electric replacement transit buses through CALACT/MBTA Cooperative Contract No. 23-01 New Flyer;
2. Approve a supplemental budget request with an interfund transfer of $2,499,359.56 from the Transit Fund (Fund 750) to the Local Transportation Fund (Fund 238) to cover acquisition costs, including tariff obligations;
2 TRAN2506.SR.MG
3. Authorize the City Manager or her designee to execute any forms and contract amendments within their authority, provided the Cooperative Contract is in effect; or
4. D
o not authorize issuance of a purchase order through CALACT/MBTA Cooperative Contract No. 23-01 New Flyer at this time and provide staff further direction.
S
taff recommend Alternative Nos. 1 through 3.

New Flyer Response:
Tariffs have been an evolving situation with the full cost impact not yet visible. To allow Simi Valley Transit to budget and seek approvals accordingly, New Flyer’s price proposal includes an estimation of the anticipated tariffs for this build, based on our best knowledge at this time.
We estimate the impact of Tariffs on this build to be $98,183.53 per bus.
Per Section Section GC 9.6 9.5 of Contract/RFP #23-01, changes in regulation or law will result in a price change, upwards or downwards. Should tariffs or regulatory changes affect the cost of materials, production, or services, or result in a change by Simi Valley Transit in the number of units to be procured, New Flyer reserves the right to adjust pricing accordingly.
We understand the importance of budgeting therefore, New Flyer is updating our processes to provide estimates and updates to the expected value of the tariffs through the Pre-Production and Production process. These estimates are based on estimated material content with the highest publicly stated tariffs to date without duty drawbacks or exemptions.
New Flyer will provide estimates of the tariff impact:
• At the time of Option Price Proposal
• At the Pre-Production Meeting
• 30 days after all Code 1 MRL items are closed and the Bill of Material is frozen The Price Change reflective of actual Tariff costs, will be calculated at the time of line entry and will be provided with auditable backup to Simi Valley Transit. The amount will be calculated through New Flyer’s SRCR (Sales Release Change Request) process and passed through at cost. It will be clearly identified as a Tariff Surcharge on the Price Change.
The payment terms for Tariffs are Net 15 days from the time of the Price Change, auditable backup, and invoice are presented to Simi Valley Transit.
The federal government requires that the importer on record pay for Tariffs 2 weeks from the date they are incurred and provide a bond for tariff payments. New Flyer has provided a bond to the Federal Government for Tariff Payments; therefore, the Tariff payment at line entry is not considered an Advanced Payment, and no additional security is required.
New Flyer is taking an active advocacy role to educate stakeholders on the impact of tariffs on our industry and the economic impact to Transit Agencies. Unforeseen economic factors and changes in laws and regulations create disruption and added costs. We encourage Simi Valley Transit to reach out to your government offices to share the impact of Tariffs on your organization and participate in advocacy outreach where and how you deem appropriate.
