Back
ground
On Nove
mber 18, 2024, the City Council approved a License Agreement with the YMCA authorizing the use of approximately 1.22 acres of City-owned property (APN: 633-0-170- 105), for the future expansion of the YMCA. The License Agreement established a 50- year term and authorized the YMCA to construct improvements on the property to expand community services and amenities, including additional meeting space, health and wellness services, educational enrichment opportunities, workforce housing, and supporting parking facilities.
In Spri
ng 2026, Staff met with representatives of the YMCA to discuss Section 16 of the License Agreement. Section 16 provides that either party may terminate the agreement, with or without cause, upon providing 180 days’ written notice. The YMCA expressed concerns regarding this provision and the potential loss of their investment should the City elect to terminate the agreement after the YMCA has constructed improvements on the City’s property. The YMCA also indicated that the ability to secure funding and move forward with future phases of development could be adversely impacted without assurances that its investment would be protected in the event of an early termination initiated by the City.
Agenda Item No.
Consent (7)
In response to these concerns, staff worked with the YMCA to prepare an amendment to the License Agreement revising Section 16 to include reimbursement provisions for eligible constructed improvements in the event the City terminates the agreement.
Discussion
Under the proposed First Amendment, if the City elects to terminate the License Agreement, the City will reimburse the YMCA for the remaining depreciated value of such improvements. The reimbursable value shall be determined using straight -line depreciation over a twenty (20) year period, with five percent (5%) of the original improvement cost depreciated each year following completion of the improvements. No other substantive changes to the License Agreement are proposed.
The proposed amendment to Section 16 maintains the City's ability to terminate the License Agreement while addressing the YMCA's concerns regarding the recovery of capital investments made to improve the licensed property.
Financial Impact
No fiscal impact to the General Fund unless City terminates the License Agreement.
City Council Priority
This item supports the Thriving Community Pillar of Excellence.
Suggested Motion
I move to Approve the First Amendment to the License Agreement with the Southeast Ventura County YMCA (YMCA) to revise Section 16 of the agreement and authorize the City Manager , or her designee, to approve and execute contract amendments to the License Agreement, in a form approved by the City Attorney, and take such additional, related, action that may be desirable.
Summary
On November 18, 2024, the City Council approved a License Agreement with the YMCA for the use of approximately 1.22 acres of City-owned property adjacent to the Simi Valley Family YMCA. Following approval of the agreement, the YMCA expressed concerns regarding Section 16 of the agreement and the potential loss of its investment associated with future improvements should the City terminate the agreement. The proposed amendment revises Section 16 to provide reimbursement for eligible constructed improvements in the event the City elects to terminate the License Agreement. The amendment preserves the City's ability to terminate the agreement while providing the YMCA with greater certainty regarding the protection of its investment.
