I
t is recommended that the Board of Directors:
1. F
ind that cold -water meters and software produced by Neptune Technology Group, LLC (Neptune) are necessary to ensure uniformity and compatibility with the District’s existing water meter infrastructure , that Neptune is the only distributor of such equipment and supplies, and that use of Neptune equipment will result in savings to the District by maintaining compatibility and standardization with the District's existing water metering system;

3. he Ventura County Waterworks District No. 8 (District) relies on Neptune water meters and an integrated metering system to provide uninterrupted water service and reporting capabilities to its customers. Agenda Item No.
Consent (5)
For more than two decades, Neptune has provided reliable performance and is an integral part of the District’s water service, ensuring proper flow, reliability, and equitability to approximately 26,000 service connections currently equipped with Neptune meters.
I
n 2018, the District went out to bid for the purchase of cold-water meters. Out of the two bids received, only Neptune could provide meters and software compatible with the District’s existing metering infrastructure. A two- year contract was awarded, with the option to extend for additional three (3) two- year terms. The District exercised all three (3) extensions, and the contract expired on June 30, 2026; however, due to the time required to complete contract negotiations with the vendor, the proposed agreement is presented with a retroactive effective date of July 1, 2026, to ensure uninterrupted service. Approximately, 1,000 and 1,500 meters are replaced each year when reaching end of useful life.
W
hile other meter technologies are available on the market, they are not compatible with the District's existing metering system without substantial modifications . Transitioning to another vendor would require replacement of the entire metering system, including meters, endpoints, RF network components, and associated software, along with reconfiguration of the District’s billing system and geographic information system (GIS).
Replacing the meters and software in kind allows the District to maintain operational continuity with proven equipment while avoiding unnecessary expenditures on analysis, redesign, and system modifications.
U
sing Neptune equipment also maintains compatibility and standardization with the District's existing water metering system, avoiding the substantial costs associated with replacing or modifying the District's existing infrastructure.
P
ursuant to Simi Valley Municipal Code § 2- 9.201(e), the Board may waive the competitive bidding requirements when a commodity can only be provided by one vendor, including where standardization of City equipment would result in savings to the City.
D
iscussion
The District has relied on Neptune meters and its fully integrated metering system since its installation in 2003, when it replaced obsolete equipment. The decision to implement Neptune meters and software was recommended by staff and approved by the Board of Directors at that time, based on the need for a reliable and effective water metering solution. Over the past 23 years, the system has consistently performed as intended, providing dependable service and accurate reporting capabilities.
Staff has determined that replacing the existing meters in kind is the most cost -effective and operationally reliable solution currently available to the District . Use of alternative equipment would require the District to replace all 26,000 existing meters and supporting infrastructure to accommodate a different technology platform , resulting in significant costs and operational impacts. This would include procurement and installation of new metering software, replacement of approximately 18 Advanced Metering Infrastructure 2 (AMI) collectors located throughout the service area, and re-establishment of system integrations with the District’s billing platform and GIS.
It is anticipated that this process would add significant cost and delay, and may require additional system upgrades. Using alternate equipment without full system integration would present an even greater risk, as it could result in control system incompatibility or operational inefficiencies affecting data accuracy and system reliability. In comparison, continuing with Neptune ensures continuity of operations, avoids costly redesign and retrofitting, and maintains the proven reliability of the existing system. Maintaining the existing Neptune system also preserves compatibility and standardization with the District's existing water metering infrastructure, avoiding the substantial costs associated with replacing or modifying that infrastructure. Staff will reevaluate system compatibility near the end of the contract term.
Further, Neptune meters and software are proprietary. Neptune has confirmed that it is the sole distributor for its products and services, making it the exclusive source of supply for this purchase.
I
n accordance with Simi Valley Municipal Code Section 2-9.201(e), the Board of Directors is authorized to waive the bidding requirements when a commodity can only be provided or performed by one vendor, including where standardization of City equipment would result in savings to the City. Staff recommends waiving the bidding requirements and awarding the contract to Neptune because Neptune is the sole distributor of its proprietary water meters and software, and continuing to use Neptune equipment maintains compatibility and standardization with the District's existing water metering system, avoiding the substantial costs of replacing or modifying the District's existing infrastructure.
T
he FY 2026–27 Waterworks budget (Fund 761) includes $517,000 for water meters and related software, and a similar amount will be requested in future years. Funding for possible contract extensions with Neptune is contingent upon City Council approval of the proposed FY 2027–28 through FY 2031–32 Waterworks operating budgets.
Fi
nancial Impact
T
he cost for the first year of this action is $ 517,000 and included in the FY 2026-27 Waterworks operating budget. The costs for years two (2) through five (5) will be included in the Department’s operating budgets as part of the annual budget process for the Board of Directors’ consideration.

1. F

6 1. GENERALLY. The materials, supplies, or services (collectively, “Purchase”) covered by this purchase order (“order”) must be furnished by Seller subject to all the terms and conditions contained in this order which Seller, in accepting this order, agrees to be bound by and comply with in all particulars. No other terms or conditions are binding upon the parties unless subsequently agreed to in writing. Written acceptance or shipment of all or any portion of the Purchase covered by this order constitutes unqualified acceptance of all terms and conditions in this order. The terms of any proposal referred to in this order are included and made a part of the order only to the extent it specified the Purchase ordered, the price, and the delivery, and then only to the extent that such terms are consistent with the terms and conditions of this order.
2. INSPECTION. The Purchase furnished must be exactly as specified in this order, free from all defects in Seller’s performance, design, workmanship, and materials, and, except as otherwise provided, is subject to inspection and test by City at all times and places. If, before final acceptance, any Purchase is found to be incomplete, or not as specified, City may reject it, require Seller to correct it without charge, or require delivery of such Purchase at a reduction in price that is equitable under the circumstances. If seller is unable or refuses to correct such items within a time deemed reasonable by City, City may terminate the order in whole or in part. Seller bears all risks as to rejected Purchases and, in addition to any costs for which Seller may become liable to City under other provisions of this order, must reimburse City for all transportation costs, other related costs incurred, or payments to Seller in accordance with the terms of this order for unaccepted Purchases. Notwithstanding City’s acceptance of any Purchase, Seller is liable for latent defects, fraud, or such gross mistakes as constitute fraud.
3. CHANGES. City may make changes within the general scope of this order in drawings and specifications for specially manufactured supplies, place of delivery, method of shipment or packing of the order by giving notice to Seller and subsequently confirming such changes in writing. If such changes affect the cost of or the time required for performance of this order, an equitable adjustment in the price or delivery or both must be made. No change by Seller is allowed without City’s written approval. Any claim by Seller for an adjustment under this section must be made in writing within thirty (30) days from the date of receipt by Seller of notification of such change unless City waives this condition in writing. Nothing in this section excuses Seller from proceeding with performance of the order as changed.
4. TERMINATION. City may terminate this order at any time, with or without cause upon thirty (30) days’ prior written notice to Seller. Should termination occur, City will pay Seller as full performance until such termination the unit or pro rata order price for the performed and accepted portion of the Purchase. Seller may likewise terminate this order upon thirty (30) days’ prior written notice to City if City fails to make any undisputed payment when due and does not cure such failure within fifteen (15) days after written notice from Seller. City may provide written notice of termination for Seller’s default if Seller refuses or fails to comply with this order. If Seller does not cure such failure within a reasonable time period, or fails to perform the Purchase within the time specified (or allowed by extension), Seller will be liable to City for any excess costs incurred by City.
5. TIME EXTENSION. City may extend the time for completion if, in City’s sole determination, Seller was delayed because of causes beyond Seller’s control and without Seller’s fault or negligence. In the event delay was caused by City, Seller’s sole remedy is limited to recovering money actually and necessarily expended by Seller because of the delay; there is no right to recover anticipated profit.
6. REMEDIES CUMULATIVE. Each party’s rights and remedies under this order are notexclusive and are in addition to any rights and remedies provided by law.
7. 7. TITLE. Title to materials and supplies purchased under this order passes from Seller to City upon expiration of the ten (10) day inspection period described below, or upon City’s earlier written acceptance. City will have ten (10) days following delivery of any Purchase to inspect all items and provide written notice to Seller identifying any nonconforming items.
Seller will replace any nonconforming items identified in such notice at no additional charge within a reasonable time. Notwithstanding any such notice of nonconformance, payment for all delivered items is due within thirty (30) days of delivery regardless of any nonconforming item dispute; City’s payment obligation is not conditioned on resolution of any nonconformance.
8. PAYMENT. City will pay Seller the full invoiced amount for all delivered materials, supplies, and services within thirty (30) days of delivery. City will not pay cartage, shipping, packaging or boxing expenses unless specified in this order. Drafts will not be honored.
9. INDEMNIFICATION. (a) Neptune’s Indemnification. Neptune will defend and indemnify City against any third-party claim for direct bodily injury or tangible property damage to the extent arising out of or related to Neptune’s negligence, willful misconduct , breach of this Agreement, or defects in Neptune’s meters, endpoints, RF network components or software. Neptune will have no obligation to defend or indemnify City for any claim arising out of or attributable to the negligence, willful misconduct, or acts or omissions of City except to the extent such action or omission is caused or contributed to by Neptune. Neptune’s defense obligation is triggered when Neptune receives notice from City describing a claim that may result in a covered claim. Neptune will promptly retain counsel reasonably acceptable to City.
Each party’s total cumulative liability to the other under this Agreement for any claims not covered by the carve- outs below will not exceed three times (3x) the total amounts paid or payable by City to Seller under this order.
Notwithstanding the foregoing, the foregoing limitation of liability does not apply to either party’s indemnification obligations under this Section, there is no limit on either party’s liability for: (i) claims for bodily injury or death; (ii) claims for infringement or misappropriation of intellectual property rights ; or (iii) fraud or willful misconduct. (b) City’s Indemnification. City will defend and indemnify Neptune against any third-party claim for direct bodily injury or tangible property damage to the extent caused by City’s negligence or willful misconduct. City will have no obligation to defend or indemnify Neptune for any claim arising out of or attributable to the negligence, willful misconduct, or acts or omissions of Neptune or any third party. City will have no obligation City will have no obligation to indemnify Neptune for claims alleging over -billing, under -billing, or metering errors or inaccuracies attributable to Neptune’s meters, endpoints, RF network, or software.

(c) General. Each party’s indemnification obligations are conditioned on the indemnified party: (i) promptly notifying the indemnifying party in writing of any claim; (ii) granting the indemnifying party reasonable cooperation and assistance; and (iii) not making any admission or settlement without the indemnifying party’s prior written consent. No settlement that imposes any obligation on, or admits liability on behalf of, the indemnified party may be entered into without the indemnified party's prior written consent. These provisions survive termination of this Agreement.
10. WARRANTY. Seller agrees that the Purchase is covered by the most favorable commercial warranties the Seller gives to any customer for the same or substantially similar supplies or services, or such other more favorable warranties as is specified in this order. Warranties will be effective notwithstanding any inspection or acceptance of the Purchase by City. 7 11. ASSIGNMENT. City may assign this order. Except as to any payment due under this order, Seller may not assign or subcontract the order without City’s written approval; provided, however, that Seller may assign this order without City’s consent to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of Seller’s assets, so long as the successor assumes all of Seller’s obligations hereunder and Seller provides City with prompt written notice of such assignment. Should City give consent, it will not relieve Seller from any obligations under this order and any transferee or subcontractor will be considered Seller’s agent.
12. INSURANCE. Seller must provide the insurance indicated on the face sheet of this order.
13. PERMITS. Seller must procure all necessary permits and licenses, and abide by all federal, state, and local laws, for performing this order.

City’s review or acceptance of, or payment for, work product prepared by Seller under this order will not be construed to operate as a waiver of any rights City may have under this Agreement or of any cause of action arising from Seller’s performance. A waiver by City of any breach of any term, covenant, or condition contained in this order will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this order, whether of the same or different character.
