62 CITY COUNCIL STAFF REPORT
AGENDA ITEM 4.d
Meeting Date: May 13, 2024
SUBJECT: Award the contract to JJ Fisher Construction for the FY 2023-24 Concrete Repair project PW 24-4 in the amount not to exceed $472,215 and contingency and project delivery costs for a total not to exceed $560,000.00, and authorize the Mayor to execute on behalf of the City; and
Authorize a budget adjustment in the amount of $95,000 from Measure A funds PREPARED BY: Rodger A. Olds – Public Works Director/City Engineer DISCUSSION:

The 2023-24 Concrete Repair Project purposes to comprehensively replace cracked broken and uplifted curb gutter and sidewalk throughout the neighborhood known as Alisal Glenn. This neighborhood has sidewalks throughout the neighborhood and well-established trees which have caused uplifting of the sidewalk, curbs and gutters which cause potential liability to the City due to tripping and ADA deficiencies. Uplifting of the curbs and gutters also causes street drainage issues.

This neighborhood had the highest incidence of reported uplifting from the concrete survey and grinding contractor which is why this neighborhood was selected for this project.

The project scope includes the removal and replacement of damaged concrete sidewalk, driveway, curb & gutter, and corner ramps; repair and replacement of existing catch basin top slab and park drain covers; and asphalt concrete pavement dig-out repairs and improve ADA compliance. The ADA ramps along Fjord Drive were added to this project as they are currently out of ADA compliance.

The Public Works Department publicly advertised bids on March 11, 2024. The City received bids from six (6) contractors. Bids were opened bids on Tuesday April 9th at 2:00 PM in the City Hall Council Chambers. The Detailed Bid Results listing the bidders and bid amounts is attached as Attachment A.

There have been no protests to the Bid at the time of this writing.

Staff has reviewed all bids and found the apparent low bid received from JJ Fisher Construction, Inc. to be complete and responsive. JJ Fisher Construction, Inc. is experienced in this type of construction and has completed similar projects in the past for the City of Solvang and several similar projects for other public agencies.

The low bid received for this project was nearly thirty percent (30%) lower than the engineer’s estimate; however, it does exceed the 2023-24 budget initially established for this capital project. The funding source is Measure A, and the General Fund. In order to deliver the project, it is anticipated that an additional $95,000 will be necessary as detailed below in the fiscal impact section of this staff report. A contingency of 10% has been assumed due to change orders and unforeseen conditions. Typically projects such as this require can require additional work due to excessive tree root removal, or removal and replacement of any trees that are deemed necessary to be removed for public safety. Additionally, an estimated $40,000 for construction oversight and specialized inspection has been added to the project budget.

Staff recommends awarding the contract to the apparent low bidder, JJ Fisher Construction, Inc. in the amount of $472,215. Staff further recommends a budget adjustment of $95,000 from the City’s Measure A fund balance to fully fund the project. Lasty, it is requested by staff to authorize the City Manager to execute any change orders if within the contingency amount of $47,785.

ALTERNATIVES:
6363
City Council could direct staff to reject all bids and not move forward with this project. This alternative would delay the repairs to the neighborhood pedestrian facilities and could open the City up to liability.

FISCAL IMPACT:

The lowest bid received and the anticipated cost to the City to deliver this project are listed below:

The following is a breakdown of the fiscal requirements to deliver the project:

ANTICIPATED PROJECT COSTS
Base Bid (Roadway Slurry) $ 472,215.00
Contingency (Approx. 10%) $ 47,785.00
Special Inspection and Oversite $ 40,000.00
Total Anticipated project Costs $ 560,000.00
AVAILABLE 2023/24 CIP PROJECT FUNDING
Sidewalk Infill & Repair General Fund Contribution $ 200,000.00 Sidewalk Infill & Repair Measure A Contribution $ 200,000.00 Access Ramp Improvements Measure A $ 65,000.00
Total Available Project Funding $ 465,000.00
The anticipated cost for the project exceeds the approved budget amount for this project by $95,000.00. Therefore, a budget adjustment from the Measure A fund balance is requested in the amount of $95,000 in order to are anticipated to deliver this project. The projected Measure A fund balance for the end of this fiscal year is $913,729.85.

The utilization of additional Measure A funds for this project will go towards the City’s 15% Alternative Transportation requirements established by the Measure A program.

70 KEY TAKEAWAYS April 2024
We hit some milestone followings across all platforms by the end of this month! Surpassed 50k on Instagram, ending with 50,674 total followers Just under 3.5k on Facebook
Hit 2k on TikTok
We reached mostly non-followers this month (85% vs 14% followers) and increased profile activity 7,530 (+3.7% from March) both of which are important for us increasing awareness of the destination! This is correlated to our team using an array of posting formats that Instagram is prioritizing.

Our 1st in-house giveaway garnered the most impressions and reach in one day this month, 39% were nonfollowers. This shows that we’re increasing awareness of the destination.

Takeaway: Results were about average for a high performing post. We’ll be testing a different visual + partnering with an influencer for our next giveaway (with Anna’s help) to see if that helps drive our performance higher.

This will be a returning visit for the winner as she mentioned that Solvang is her favorite place in California! This is great because we’re creating even deeper of a relationship to the destination with this person.

We’ll be monitoring to see if she shares any content during her visit, which is likely. 71 THANK

AGENDA ITEM 4.f
Meeting Date: May 13, 2024
SUBJECT: Adopt Resolution No. 24-1252 Authorizing the City Manager to Execute an FTA 5311 Grant Agreement with CALTRANS for Operation Assistance for Public Transit
PREPARED BY: Rodger A. Olds – Public Works Director/City Engineer DISCUSSION:

The U.S. Department of Transportation provides federal funding to states for transit operations through the Federal Transit Administration (FTA) to support operating assistance projects for non-urbanized public transportation systems under Section 5311 of the Federal Transit Act. The California Department of Transportation (Caltrans) administers these federal Section 5311 grant funds for rural transit and intercity bus service throughout the state.

The Santa Ynez Valley Transit System is allocated Section 5311 funds annually for the operation of the SYVT service. Section 5311 funds are an integral and necessary part of the funding for Santa Ynez Valley Transit (SYVT) system. The fiscal year 23-24 FTA Section 5311 grant award is anticipated to be similar to previous year’s award which was $287,417.

The FTA requires an authorizing resolution designating a City representative to make application for and to sign certifications and assurances for FTA Section 5311 programs, projects and grants. The City of Solvang, acting as administrator of the SYVT Joint Powers Agreement, must submit the grant applications for any operating and/or capital grants that may be available. To accomplish this, the City is required to provide a resolution to comply with FTA regulations for each fiscal year. Approval of the attached resolution to enable the City to apply for FTA Section 5311 grant funds on behalf of SYVT to enable the system to continue to operate.

ALTERNATIVES:

City Council could choose not to approve the resolution. This would require the SYVT to pursue other funding sources to maintain current service levels.

FISCAL IMPACT:

The City’s application for FTA Section 5311 grant funds for fiscal year 2023/24 operations is expected to be approximately $285,417.

75 CITY COUNCIL STAFF REPORT
AGENDA ITEM 5.a
Meeting Date: May 13, 2024
SUBJECT: Public Hearing to Consider Adoption of Resolution 24-#### Confirming and Levying Assessments for the Solvang Mesa Landscape & Lighting Maintenance District No. 2004-1 for Fiscal Year 2024-25 PREPARED BY: Rodger A. Olds – Public Works Director/City Engineer DISCUSSION:

The City Council adopted the Tentative Vesting Map for the Skytt Mesa Project on May 27, 2003. Per Condition No. 50 of that 169-lot subdivision, the applicant was required to establish a Landscape and Lighting Maintenance District (LLMD) prior to the recordation of the first phase final map. Solvang Mesa Landscape & Lighting Maintenance District No. 2004-1 was established in November 2004 and must now be evaluated annually for any changes.

The City has retained Francisco & Associates to prepare the annual Engineer’s Report for the Solvang Mesa LLMD. The Engineer’s Report outlines the estimated LLMD operations and maintenance budget for the 169-lot single-family residential subdivision, establishes the boundaries of the District, determines the method for spreading the annual maintenance costs to each single-family residential parcel, and determines the maximum annual assessment that can be levied on each parcel.

Since the formation of the LLMD in 2004, there have been six years, in which the assessment remained unchanged, and one year in which the assessment was reduced slightly. During the other years the assessment was increased as necessary based on increases in the cost of services, and to maintain adequate reserves. Last year, staff recommended an increase of 5-percent in the assessed amount for FY 23-24 in order to keep up with the rising costs of utilities and materials. A modest increase of 2-percent in the assessment is recommended for FY 24-25 in order to keep pace with the realized increased costs to maintain the District's facilities. The intent is to also keep the District's reserves in good financial standing. This increase will result in the annual assessment of approximately $28, to the amount of $1,388.02 per parcel.

The number of single family residential (SFR) parcels included in the Final Maps for Phases 1, 2, 3 and 4 are 38, 46, 39 and 46 respectively. Each of the 169 SFR parcels benefit equally from the landscaping and street lighting improvements, and a portion of the entryway and detention basin improvements.

Therefore, it is proposed that the $234,575.38 in assessment revenue needed to operate, maintain and service the landscaping and lighting improvements be spread equally among the 169 SFR parcels, or $1,388.02 per parcel.

A nominal increase of 2-percent of the annual costs for the maintenance costs was assumed in the preparation of the engineer’s report. Assuming this increase is realized due to increased water rates and required maintenance, a small reduction in the accumulation of reserves for FY 24-25 is expected.

The City Council approved Resolution No. 24-1250 on April 22, 2024 initiating the intention for the annual assessment. The resolution also set the Public Hearing for today, May 13th. The Public Hearing and subsequent approval of the attached Draft Resolution completes the City’s part of approving the annual assessment process.

ALTERNATIVES:

The City of Solvang could choose to not increase the assessment for FY 24-25 or increase the assessment for FY 24-25 by a greater amount to cover the full estimated maintenance cost and incidental costs in order to eliminate potential operational costs impacts to the reserve funds for the 7676
LLMD.

FISCAL IMPACT:

There is no fiscal impact to the City. The Solvang (Skytt) Mesa LLMD will fund the annual operation and maintenance of the landscaping and lighting improvements, which have now been fully constructed for the Development as outlined in the conditions of approval for the project. The Assessment District will be funded through the levy of a special assessment, collected on the Santa Barbara County’s property tax rolls for the 169 lots of the subdivision as outlined in the attached Engineer’s Report ATTACHMENTS:

81 SECTION I

INTRODUCTION
As required by the Landscape & Lighting Act of 1972, this Engineer’s Report describes the improvements which can be constructed, operated, maintained, and serviced by the District, provides an estimate of cost for Fiscal Year 2024-25, lists the maximum assessments that can be levied upon each assessable lot or parcel of land within the District and lists the Fiscal Year 2024-25 assessments that are to be levied upon each assessable lot or parcel of land within the District.

In addition to complying with the provisions of the Landscape & Lighting Act of 1972, the Solvang City Council complied with the provisions of Proposition 218 which was approved by the California voters on November 5, 1996. Proposition 218, entitled “Right to Vote on Taxes Act”, added Articles XIIIC and XIIID to the California Constitution. This Proposition established new procedural requirements for the formation and administration of assessment districts. In order to comply with these requirements, the City of Solvang implemented the following procedures:

1. Every property owner subject to the proposed assessment was mailed a ballot allowing the property owner to vote on whether to form and levy assessments within the District. The ballots were accompanied by a public notice describing the total assessment, the individual property owner’s assessment, the reason for the assessment, and the general basis upon which the assessment was calculated.

2. The Solvang City Council held a Public Hearing on November 8, 2004 to provide an opportunity for any interested person to be heard. After the close of the public input portion of the public hearing, the City Council directed City staff to tabulate the assessment ballots. All the ballots received were in favor of forming the assessment district. The City Council subsequently adopted a resolution forming the assessment district and authorizing the levy of assessments. 82 SECTION II

DISTRICT INFORMATION
Total No. of Proposed Assessable Single Family Parcels 169 Maximum Assessment per Proposed Single Family Parcel 2 $3,421.95 Fiscal Year 2024-25 Collection per Proposed Single Family Parcel $1,388.02 NOTES:
(1) Recommended minimum reserve amount is $365,157 (Operating and Capital). Operating reserves are needed for future fiscal years because the City does not receive assessment revenue from the County until January, therefore it's necessary to have an operating reserve fund to cover 6 months of cashflow from July 1 through December 31 each fiscal year. Therefore, for Fiscal Year 2024-25, $141,190 is needed for operating reserves [($265,180+$17,200) x 0.50 = $141,190].

In addition, Capital reserves are used to replace capital facilities in the event of failure, damage, vandalism or when they reach their useful life expectancy. The estimated cost to replace the capital facilities in Fiscal Year 2024-25 dollars is $895,867. Since it is unlikely that all capital facilities will need to be replaced in the same year it is estimated that at least 25% of the replacement cost, or at minimum $223,967 be budgeted and available for capital reserves. (2) The maximum assessment per parcel may increase 5% each fiscal year.

Funds raised by the assessments shall be used only for the purpose as stated herein. Any balance remaining on July 1 must be carried over to the next fiscal year unless the funds are being accumulated for future capital improvements and/or operating reserves.

90 PART D

METHOD OF APPORTIONMENT OF ASSESSMENT

GENERAL
Part 2 of Division 15 of the Streets and Highways Code, the Landscaping and Lighting Act of 1972, permits the establishment of assessment districts by Agencies for the purpose of providing certain public improvements, which include the operation, maintenance and servicing of landscaping and lighting improvements.

Section 22573 of the Landscape and Lighting Act of 1972 requires that maintenance assessments must be levied according to special benefit, rather than according to assessed value. This Section states:
“The net amount to be assessed upon lands within an assessment district may be apportioned by any formula or method which fairly distributes the net amount among all assessable lots or parcels in proportion to the estimated benefit to be received by each such lot or parcel from the improvements.

The determination of whether a lot or parcel will benefit from the improvements shall be made pursuant to the Improvement Act of 1911 (Division 7 (commencing with Section 50000)) [of the Streets and Highways Code, State of California].”
In addition, Article XIIID, Section 4(a) of the California Constitution limits the amount of any assessment to the proportional special benefit conferred on the property.

The Act permits the designation of zones of benefit within any individual assessment district if “by reasons or variations in the nature, location, and extent of the improvements, the various areas will receive different degrees of benefit from the improvement” (Sec. 22574). Thus, the 1972 Act requires the levy of a true “assessment” rather than a “special tax”.

Article XIIID provided that publicly owned properties must be assessed unless there is clear and convincing evidence that those properties receive no special benefit from the assessment. Exempted from the assessment would be the areas of public streets, public avenues, public lanes, public roads, public drives, public courts, public alleys, public easements and rights-of-ways, public greenbelts and public parkways, and that portion of public property that is not developed and used for business purposes similar to private commercial, industrial, and institutional activities. 9191

LANDSCAPING/OPEN SPACE BENEFIT DETERMINATION
Trees, landscaping, hardscaping, open space, and appurtenant facilities, if well maintained, provide beautification, shade, and enhancement of the desirability of the properties within the boundaries of the District. In Parkways and Land Values, written by John Nolan and Henry V. Hubbard, it is stated:
"... there is no lack of opinion, based on general principles and experience and common sense, that parkways do in fact add value to property, even though the amount cannot be determined exactly. Indeed, in most cases where public money has been spent for parkways, the assumption has been definitely made that the proposed parkway will show a provable financial profit to the City. It has been believed that the establishment of parkways causes a rise in real estate values throughout the City, or in parts of the City,..."
It should be noted that the definition of "parkways" above may include the roadway as well as the landscaping alongside the roadway. One hundred percent of the benefits resulting from the landscape and open space improvements are a direct and special benefit to the properties within the District. Therefore, there are no general benefits and 100% of the annual cost to operate and maintain the landscape and open space improvements is assessed to the properties within the boundaries of the District.

STREET LIGHTING BENEFIT DETERMINATION
The proper functioning of street lighting is imperative for the welfare and safety of the property owners throughout the District. The annual operation, maintenance and servicing of the District’s street lighting system benefits the properties within the District by providing increased illumination for ingress and egress, safe traveling at night, improved security, and protection of property. One hundred percent of the benefits resulting from the street lighting improvements are a direct and special benefit to the properties within the District. Therefore, there are no general benefits and 100% of the annual cost to operate and maintain the street lighting improvements is assessed to the properties within the boundaries of the District.

GENERAL & SPECIAL BENEFIT
There are no General Benefits associated with street lighting, landscaping, and open space improvements within the Solvang Mesa Landscape & Lighting District. All the street lighting, landscaping and open space improvements directly benefit and are a special benefit to the properties within the Solvang Mesa Landscape & Lighting District. 92 ASSESSMENT METHODOLOGY
Each single-family residential parcel will benefit equally from the construction, operation, maintenance and servicing of the landscaping and street lighting improvements.

Therefore, the total assessment revenue needed to construct, operate, maintain and service the landscaping and street lighting improvements will be spread equally to each proposed single family residential parcel.

Phase I through IV landscaping and street lighting improvements and the entire development’s (Phase I through IV) entryway and detention basin improvements have been completed and turned over to the City for annual maintenance. Each of the 169 single-family residential parcels located in Phases I thru IV will benefit from the landscaping and street lighting improvements and their pro-rata share of the entryway and detention basin improvements. Therefore, it is proposed that $234,575.38 in assessment revenue is needed from the 169 single-family residential parcels located in the District, or $1,388.02 per parcel to cover these costs. 93 PART E

PROPERTY OWNER LIST & ASSESSMENT ROLL
Appendix A includes a listing of the Assessor parcels located within the boundaries of the Solvang Mesa Landscape & Lighting Maintenance District No. 2004-1 that will be assessed in Fiscal Year 2024-25. The maximum assessment rate in Fiscal Year 2024- 25 that could be charged is $3,421.95 per single-family residential unit. In each subsequent fiscal year, the maximum annual assessment rate for each single-family residential unit may be increased 5%.

The total proposed assessment for Fiscal Year 2024-25 is $234,575.38. 94 FISCAL YEAR 2024-25 ASSESSMENT ROLL

CITY COUNCIL STAFF REPORT
AGENDA ITEM 6.a
Meeting Date: May 13, 2024
SUBJECT: Discussion and possible action to approve the request for a Letter of Public Convenience or Necessity for Endcorp Enterprises INC., (DBA Jim’s Service Center) at 2015 Mission Drive (APN 139-540-035).

PREPARED BY: Rafael Castillo, AICP, Planning Manager
DISCUSSION:

The Business and Professions Code requires the California Department of Alcoholic Beverage Control (ABC) to deny an application for a license to sell alcoholic beverages at a premises where a higher concentration of certain license types exists within a census tract, unless the local governing body determines that public convenience or necessity would be served by the issuance of a license. In 2010, the City Council established a policy that all requests for Letters of Public Convenience of Necessity (PCN) be brought before the Council as a regular agenda item. PCNs are required for the following license types: 20, 21 , 40, 42, and 48.

The applicant operates Jim’s Service Center, located at 2015 Mission Drive (APN 139-540-035), at the corner of Mission Drive and Alamo Pintado Road. The applicant has recently shut down the service center portion and wishes to expand their existing convenience store and include the sale of wine and beer, consistent with the Type 20 license issued by ABC. The applicant has provided their rationale for this request (Attachment 2).

According to ABC, there are currently ten Type 20/21 license within the City of Solvang. These license types are typically issued to convenience stores, grocery stores, and other similar retail establishments for “off-premise” alcohol consumption, i.e. beer, wine, or liquor that is consumed somewhere other than the retail seller. The City Council last approved an off-premise PCN in July 2023.

ALTERNATIVES:

City Council can deny this request for a Letter of Public Convenience and Necessity. The Applicant will not be able to obtain a Type 20 ABC License
FISCAL IMPACT:

There is a potential net positive fiscal impact with additional beer and wine sales from this location.

CITY COUNCIL STAFF REPORT
AGENDA ITEM 6.b
Meeting Date: May 13, 2024
SUBJECT: Public Hearing to Review Conflict of Interest Code and Introduce for First Reading Ordinance No. 24-0374 Amending Subsections A and B of Section 1-11-2 (Designated Positions) of Chapter 11 (Conflict of Interest) of Title 1 (Administration) to Designate Certain Positions and Make Certain Clarifying Edits and Make a Determination of Exemption under the California Environmental Quality Act.

PREPARED BY: Randy Murphy, City Manager
Chelsea O’Sullivan, City Attorney
DISCUSSION:

Pursuant to Government Code Section 87306.5 and Solvang Municipal Code Section 1-11-5, by July 1st of each even-numbered year the City Council must review the City’s conflict of interest code and amend the code as necessary to address changed circumstances. Changed circumstances include creation of new designated positions.

Because 2024 is an even year, staff is bringing the conflict of interest code forward for the Council’s review. To assist the Council in its review, staff identified certain necessary amendments to the conflict of interest code, including adding two new designated positions and making certain clarifying edits.

Staff prepared Ordinance No. 24-0374 reflecting those changes. The Council may identify other necessary amendments. If additional changes are added, staff would bring Ordinance No. 24-0374 back for another first reading with those additional changes incorporated. As drafted Ordinance No. 24- 0374 adds the following positions to Subsection B of Section 1-11-2 (Designated Positions) as designated positions:
• Special Advisor. This is the position was created to advise the City Council on its goal setting and perform other related duties.
• Management Analyst. This position is already included in the organizational chart but has been vacant since 2022. On April 8th the City Council approved a revised job description and staff has determined this position should now be included as a designated position.

The ordinance also makes other clarifying edits to Subsection A of Section 1-11-2 (Designated Positions). Subsection A refers to “disclosure categories” for designated positions but the City does not distinguish designated positions by different disclosure categories and instead requires all designated positions to disclose all of the information set forth on conflict of interest forms prescribed by the Fair Political Practice Commission. To avoid confusion, staff recommends deleting the reference to “disclosure categories” in Subsection A.

ALTERNATIVES:

Provide further direction to staff on amendments to the conflict of interest code.

FISCAL IMPACT: There will be administrative costs associated with updating the code but these are within current budgeted amounts.

CITY COUNCIL STAFF REPORT
AGENDA ITEM 6.c
Meeting Date: May 13, 2024
SUBJECT: Discussion and possible action to provide staff direction on finalizing a Joint Powers Agreement for Santa Ynez Valley Basin Eastern Management Area Groundwater Sustainability Agency
PREPARED BY: Dave Fleishman, Assistant City Attorney
DISCUSSION:

Over the past two years, City staff has been engaged in discussions with the Santa Ynez River Water Conservation District-Improvement District #1 (“ID1”), the Santa Ynez River Water Conservation District (“Conservation District”) and the Santa Barbara County Water Agency (“Agency”), in an attempt to negotiate a Joint Powers Agreement (JPA) to govern the Eastern Management Area (“EMA”) of the Santa Ynez Valley groundwater basin as that basin’s Groundwater Sustainability Agency.

At its January 24 and March 27 meetings, the City Council considered the negotiation of the JPA. The staff reports from both meetings are attached.

On May 1, the various parties met and went through the latest draft of the Agreement. Staff is bringing forth the latest draft to allow Council to discuss the Agreement and any additional concerns the Council may have about the Agreement or other issues relating to the formation of a JPA to govern the EMA.

The other parties will be discussing the draft of the Agreement with their respective boards as well.

As noted in the March 27 staff report, the Conservation District staff has strongly advocated for a fifth board member to serve as a representative of agricultural interests in the groundwater basin.

Representatives of the Santa Ynez Water Group have also made it clear that they want an agricultural representative on the JPA board even though the Water Group is not a public agency. The latest iteration of the JPA includes an appointment process for a fifth director, candidates for which would be nominated by the Water Group. In addition, the Water Group has agreed to disclose its membership lists to provide more transparency to the process.

While the City Manager and Assistant City Attorney have repeatedly conveyed to the other parties the position of the City Council expressed on January 24 that a fifth board member is not needed at the inception of the JPA, this draft still contains language regarding appointment of a fifth director. It is unlikely in the extreme that the other parties will be willing to remove that language, but the appointment of that fifth director is subject to unanimous approval of the four public agencies.

The May 1 meeting also involved discussions over the start-up funding for the JPA. The initial seed money amount is left as a blank at present in Section 14.2 of the agreement, but the discussions ranged from $100,000 to $250,000 from each agency. However, no final agreement exists as to the contribution from each agency. There is still no provision for the agricultural representative to contribute any funds to the JPA. Finally, there was discussion about staffing the JPA and the voting requirements for appointment of an Executive Director or other administrative and operational staff.

The purpose of this staff report is to allow the Council a final opportunity to discuss the JPA negotiations and provide staff any last-minute direction deemed necessary at this point in the process.

As noted previously, should the four agencies fail to come to terms on a JPA agreement, the EMA GSA would continue as it currently operates.
110
In conclusion, staff is seeking direction from the Council regarding any additional policy direction the Council would like to take in future discussions over the JPA agreement.

ALTERNATIVES:

Provide alternative direction to staff regarding Joint Powers Agreement terms.

FISCAL IMPACT:

The fiscal impact to date from the negotiations surrounding the proposed JPA agreement has been limited to staff and City Attorney time, which has been absorbed into the existing budget. Based on the current terms of the cost sharing provisions of the JPA agreement, the City’s contribution to startup costs of the JPA could be significant, currently somewhere between $100,000 and $250,000 for each of the first two years, but the final start-up contributions for each agency is still subject to final negotiation.

CITY COUNCIL STAFF REPORT
AGENDA ITEM 6.a
Meeting Date: March 27, 2024
SUBJECT: Discussion and possible action to provide staff direction on further negotiation of Joint Powers Agreement for Santa Ynez Valley Basin Eastern Management Area Groundwater Sustainability Agency
PREPARED BY: Dave Fleishman, Assistant City Attorney

DISCUSSION:

At its January 22, 2024 meeting, the City Council held a discussion regarding the negotiation of a Joint Powers Agreement (JPA) with several other local public agencies to govern the Eastern Management Area (EMA) of the Santa Ynez Valley groundwater basin. A copy of the January 22 staff report is included as an attachment to this report.

Since that meeting, the City Manager and Assistant City Attorney have met a number of times with representatives of the other public agencies comprising the current groundwater sustainability agency, i.e. the Santa Ynez River Water Conservation District-Improvement District #1 (“ID1”), the Santa Ynez River Water Conservation District (“Conservation District”) and the Santa Barbara County Water Agency (“Agency”), in an attempt to finalize the joint powers agreement. At present, there are still a number of outstanding issues standing in the way of an agreement, the most contentious of which is the addition of a fifth member of the Board of Directors for the JPA.

The Conservation District staff has on behalf of one of its directors, advocated for a fifth member to serve as a representative of agricultural interests in the groundwater basin, but it is not clear whether this is the position of the majority of the directors for the District. Representatives of a group of landowners known as the “Santa Ynez Water Group” have also been participating in the more recent discussions of a JPA, even though the Water Group is not a public agency. The Conservation District’s staff have advocated for a member of the Water Group to be appointed as the fifth director for the JPA.

There have also been fairly extensive discussions about how that fifth member of the board would be selected within the Water Group, but no resolution has yet been reached by the parties on that process.

While the City Manager and Assistant City Attorney have conveyed to the other parties the position of the City Council expressed on January 22 that a fifth board member is not needed at the inception of the JPA, the City Manager and Assistant City Attorney have also expressed the City’s openness to discussion of adding a fifth member at some time in the future should the need for an additional member arise. Unfortunately, that has resulted in somewhat of a stalemate in the negotiations for the JPA agreement.

The purpose of this staff report is to allow the Council an additional opportunity to discuss the JPA negotiations to date and provide staff any additional direction deemed necessary at this point in the process. Should the four agencies fail to come to terms on a JPA agreement, the EMA GSA would continue as it currently operates. There are other options, as well, such as setting up a new GSA covering a smaller portion of the Eastern Management Area, but there are some procedural requirements that the State of California would impose on such a process that would not result in an immediate resolution to the stalemate noted above. Nonetheless, it is an option open to the City.

In conclusion, staff is seeking direction from the Council regarding any additional policy direction the Council would like to take in future discussions over the JPA agreement. 137
ALTERNATIVES:

Provide alternative direction to staff regarding JPA terms.

FISCAL IMPACT:

At present, the fiscal impact of negotiating the agreement has been limited to staff and City Attorney time, which has been absorbed into the existing budget. Depending on the final terms of the cost sharing provisions of the JPA agreement, the City’s contribution to startup costs of the JPA could be significant, but in an amount that cannot be presently determined.

CITY COUNCIL STAFF REPORT
AGENDA ITEM 6.a
Meeting Date: January 24,
2024 SUBJECT: Discussion and possible action to provide staff direction on further negotiation of joint powers agreement for Santa Ynez Valley Basin Eastern Management Area Groundwater Sustainability Agency
PREPARED BY: Dave Fleishman, Assistant City Attorney
DISCUSSION:

In May 2017, the City of Solvang, the Santa Ynez River Water Conservation District-Improvement District #1 (“ID1”), the Santa Ynez River Water Conservation District (“District”) and the Santa Barbara County Water Agency (“Agency”) formed the Eastern Management Area Groundwater Sustainability Agency (“EMA GSA”) to comply with the Sustainable Groundwater Management Act (“SGMA”). The EMA GSA is responsible generally for managing the groundwater resources within the Eastern Management Area and for implementing groundwater sustainability plans within the Eastern Management Area. Attached is a graphical depiction of the various groundwater basins within the vicinity. In April 2017, the four agencies entered into a memorandum of agreement (“MOA”) that set forth how the EMA GSA would initially operate. The MOA is attached.

Section 3(e) of the MOA states:
“The terms of this MOA including, but not limited to, composition, voting procedures, and powers of the GSA Committee, and whether the GSA Committee shall be replaced by a comprehensive MOA or JPA to implement the GSP, shall be negotiated, reviewed and reaffirmed or modified by the Parties no later than adoption of a GSP or January 31, 2021, whichever occurs first, as part of the process to adopt a GSP, which is due no later than January 31, 2022.”
While the groundwater sustainability plan (“GSP”) has been submitted, the four parties noted above have been in discussions for a number of years about forming a joint powers authority that would exercise the powers currently exercised by the EMA GSA. There are a number of advantages to a single point of contact in implementing SGMA in this manner, and there are other similar JPAs in other locations throughout the state.

Ultimately, the four agencies anticipate implementing various regulatory programs designed to monitor and protect the water basin. Having a single entity responsible for these programs, with its own independent legal existence and funding source, will provide for more efficient monitoring and regulation of the water basin. This arrangement would also serve to limit legal liability to each of the four individual agencies from any litigation that might arise out of the regulatory programs, as the proposed JPA would be a separate legal entity from the four agencies.

While the actual draft JPA agreement is not attached to this report due to multiple remaining outstanding issues, as part of the discussions for the JPA agreement, a number of major topics have arisen on which staff seeks direction from Council. Generally, the topics still under discussion include:

1. Board of Directors membership

2. Vote allocation on Board of Directors

3. Cost sharing
The first issue has proven to be the most contentious. Initially, the JPA agreement contemplated having the four agencies each appoint a representative to represent that agency on the JPA board. 139
That arrangement does not appear to be controversial, although there have been discussions about whether the agency representative should be one of the members of that agency’s board or council.

However, a proposal has been circulated during the discussions of the Board makeup to appoint a fifth director to represent agricultural interests of landowners within the EMA basin. During the discussions of adding this fifth director, a landowner group known as the Santa Ynez Water Group has participated with the other four agencies as a potential fifth director. The membership of the Santa Ynez Water Group (“SYWG”) is not entirely clear, but it does not appear to be a separate legal entity with individual corporate status like the four agencies. Furthermore, it does not appear the SYWG has the ability to impose financial assessments on its membership. This will be important to the discussion of cost sharing below.

Aside from the inclusion of a fifth director, there have been discussions about how that director would be appointed, or perhaps even elected. Those discussions are ongoing, as well as discussions about whether the SYWG will be the source of the fifth director, or whether the fifth director should be selected from some other landowner representative in the basin.

Associated with the composition of the Board of Directors has been a discussion about the voting strength of each director. While the MOA imposed weighted voting for operations of the EMA GSA, the parties have been working towards a different structure for the JPA. Under the MOA, the Agency has five votes, the District has three votes, ID1 has two votes, and the City has one vote, for a total of eleven votes. Under the MOA, proposed resolutions and actions can be adopted by simple majority of the voting strength which puts the District and Agency in the collective position of being able to pass any resolutions or actions without the assent of ID1 and the City. The MOA also provides that any groundwater sustainability plan developed by the EMA GSA requires at least eight votes to be adopted.

While originally the District sought to maintain this weighted voting in the JPA agreement, that discussion has turned more to an equal voting arrangement with one vote per director. As a result, the focus has turned to which decisions of the board will require a simple majority, i.e. 3 of 5 votes, and which will require a supermajority of at least four votes. Currently, most of the major decisions of the JPA Board, like adopting a budget, initiating or defending litigation, issuance of bonds, and establishment of any fees or charges would require a supermajority vote.

Finally, there have been discussions about the sharing of costs for startup of the JPA and in the event the JPA was unable to meet its financial obligations following its creation, supplemental cost sharing by the members of the JPA. Under the MOA, Section 6 states that “Other costs associated with the development and implementation of the GSP shall be shared as agreed to by all of the Parties.” By and large, the City’s contribution to the EMA GSA has been relatively nominal, as there have been grant funds identified to assist in the EMA GSA’s activities. However, there is a remaining concern about potential litigation against either the EMA GSA or the eventual JPA should a groundwater pumping charge be implemented. While the creation of a JPA would assist in insulating the City and the other agencies against litigation arising out of such a charge, without an identified funding stream to support those litigation efforts, the individual agencies might have to come out of pocket to reimburse the JPA for its litigation expenses. This is why the cost sharing discussion is important.

Furthermore, as noted above, it is unclear whether the SYWG has any ability to contribute appreciable funds to the JPA once it is formed. While the landowners represented by the SYWG would have a financial interest in how any groundwater extraction fee was formulated, SYWG has not, as yet, agreed to some format by which it would be required to assist in the funding of the JPA as an equal member of the JPA board. And there is the possibility that the SYWG itself could undertake litigation against the JPA, which has also been discussed during the meetings of the four agencies.

In conclusion, staff is seeking direction on the three major issues identified above to assist staff in future discussions over the JPA agreement.

ALTERNATIVES:
140
Provide alternative direction to staff regarding joint powers agreement terms.

FISCAL IMPACT:

At present, the fiscal impact of negotiating the JPA agreement has been limited to staff and city attorney time, which has been absorbed into the existing budget. Depending on the final terms of the cost sharing provisions of the JPA agreement, the City’s contribution to startup costs of the JPA could be significant, but in an amount that cannot be presently determined.
