The Special Joint meeting of the City Council & Housing Authority was called to order by Mayor/Chairperson Rios at 5:30 p.m.

The Council/Authority Members recessed into Closed Session at 5:38 p.m. and reconvened at 6:43 p.m. with all Members of Council present. City Attorney/Authority Counsel Salinas reported the following:

Terms of Sale/Subordination Agreement
On item 1, City Manager gave a presentation with respect to a request that the City and Housing Authority enter into a Subordination Agreement with South Gate Realty. After the presentation by the City Manager, there was no reportable action taken.
Mayor/Chairperson Rios asked if anyone in the audience and zoom wished to speak on this item. Seeing no one step forward; Mayor/Chairperson Rios closed the audience portion.

The City Council unanimously approved items A, B, & C by motion of Council Member Hurtado and seconded by Council Member Davila.
ROLL CALL: Council Member Davila, yes; Council Member Diaz, yes; Council Member Hurtado, Vice Mayor Avalos, yes; Mayor Rios, yes. a. Approving the Subordination Agreement with SG Realty Group, Inc., for the real property located at 8931 Dudlext Avenue, South Gate, and the Amended and Restated Agreement (Contract No. 3173); and b. Authorizing the Mayor to execute the Subordination Agreement and the Amended and Restated Agreement in a form acceptable to the City Attorney; and
c. Authorizing the Director of Community Development to act as an agent for the City and execute any additional documents required to implement the Subordination Agreement and the Amended and Restated Agreement.
The Housing Authority unanimously approved items A, B, & C by motion of Authority Member Hurtado and seconded by Authority Member Davila.

a. Approving the Subordination Agreement with SG Realty Group, Inc., for the real property located at 8931 Dudlext Avenue, South Gate, and the Amended and Restated Agreement (Contract No. 2015-02-HA); and
b. Authorizing the Executive Director of the Housing Authority to execute the Subordination Agreement and the Amended and Restated Agreement in a form acceptable to the Legal Counsel; and c. Authorizing the Secretary to the Housing Authority to act as an agent for the Authority and execute any additional documents required to implement the Subordination Agreement and the Amended and Restated Agreement.

Chris Jeffers, City Manager/Executive Director stated that in 1996 the SG Realty Group under a HUD loan agreed to develop twenty senior unit housing and that required a thirty-year affordability covenant under HUD standard guidelines. That affordability agreement is set to expire in November 2026. The developer will often refinance the project and it requires the government loan subordinated to the bank loan. One was done in 2007 and 2015. The Amended and Restated Agreement is a compromised and thanked SG Realty for working with the city. This will also guarantee protection to the renters.
