Change Order 3 – South San Francisco
Speridian Technologies, LLC Page: 1

EXHIBIT B

CHANGE ORDER FORM
This Change Order No. 003 (“Change Order”), effective on April 1, 2026 (“Effective Date”), is made to South San Francisco Services Agreement dated December 3, 2024 (“SOW”) between City of South San Francisco (“Customer”) and Speridian Technologies, LLC (“Provider”). This Change Order shall be governed exclusively by the SOW and this Agreement.
 Describe services or changes requested and the reason for the change (attach additional pages if necessary).

Speridian is currently implementing the Clariti software platform for the City of South San Francisco in accordance with the requirements identified during discovery sessions and formally documented in the approved Functional Design Documents (FDDs) and Business Requirements Document (BRD).

In parallel with the Clariti implementation, the City of South San Francisco is also implementing a new enterprise resource planning (ERP) system, Workday. Following the City’s transition to Workday, the City has requested modifications to the payment processing configuration within Clariti. Specifically, the City has requested that the existing payment processor be replaced with Canam-Teller, which will serve as the primary payment processor for the new Workday ERP system.

Additionally, the City has requested an integration with HDL, the City’s business license processing provider, to enable the exchange of Business License data into Clariti for review and processing purposes.

Beyond these integration-related changes, the City has identified a backlog of enhancement requests that were originally deferred from the initial implementation scope. The City has requested that these items be implemented prior to system go-live to support operational readiness and usability.

The full list of requested changes is included in Appendix A. This backlog consists of 135 individual change items, encompassing functionality updates, configuration adjustments, text changes, workflow refinements, and user interface enhancements across multiple Clariti modules.

These requested changes represent an expansion of the originally approved project scope and therefore require a formal change order to address the associated effort, schedule impact, and cost.  The impact of this Change Order on the SOW, including any impact on:

Statement of Work: These are the changes to the original Scope in the SOW Integrations Removed
 Payment Processor – Authorize.Net
The originally approved payment processing integration with Authorize.Net will be removed from the Clariti implementation.

Integrations Added
Change Order 3 – South San Francisco
Speridian Technologies, LLC Page: 2
 Canam-Teller Payment Processing Integration (Two-Way) Clariti will be integrated with Canam-Teller to support two-way transaction processing and payment status updates, aligned with the City’s new Workday ERP system.

Speridian will establish a segregated development environment for the Canam-Teller integration to enable independent development and testing during the Canam-Teller development and validation phase. Integration of this work into the production environment following go-live may introduce risk, which Speridian will reasonably mitigate using standard deployment and validation practices.
 HDL Integration (One-Way)
Clariti will retrieve Business License data from HDL to support application review and processing. Data flow will be one-directional, with Clariti consuming data provided by HDL.

Modifications to the Clariti System
 Configuration, workflow, user interface, and functional updates required to support requested enhancements identified by the City.
 Appendix A includes a detailed list of 135 requested change items that were deferred from the original implementation scope and are now requested to be completed prior to system go-live.

Additional User Acceptance Testing Time
 The City has requested an increase in the time allocated for User Acceptance Testing (UAT). As a result, the UAT period will be extended beyond the duration specified in the original Statement of Work
Schedule: This Change Order is in effect from April 1, 2026, to May 31, 2027.  Change Order Effective Period
This Change Order shall be effective from April 1, 2026, through May 31, 2027.  Change Order Execution Period
Work associated with this Change Order is anticipated to be performed between May 1, 2026 and March 31, 2027.
 Updated Project Schedule
The following schedule reflects the revised project timelines resulting from this Change Order:
 Additional Sprints: April 6, 2026 – June 1, 2026
 System Integration Testing (SIT): June 8, 2026 – July 5, 2026  User Acceptance Testing (UAT): July 6, 2026 – August 23, 2026  Deployment: August 24, 2026 – September 6, 2026
 Hypercare Support: September 7, 2026 – October 10, 2026  Canam-Teller Integration Schedule
The Workday/Teller implementation is currently planned for the fall timeframe. Initial plans called for transitioning the Clariti payment processing to Teller on October 1, 2026.

However, due to the extended Clariti project timeline, a compressed testing window, and the risks associated with managing multiple testing environments, a decision was made to defer the Clariti/Teller integration to 2027.

The revised timeline for the Canam Teller payment processor integration with Clariti is outlined below:
 Development and Testing: October 2026 – December 2026 Change Order 3 – South San Francisco
Speridian Technologies, LLC Page: 3
 UAT Testing / Go-Live Testing: January-February 2027
 Estimated Go-Live: March 2027
 The final Go-Live date for the Canam-Teller integration will be jointly confirmed by the City and Speridian.
