ThisAmendmentNumber____1_____totheabovereferencedAgreementisenteredintoon________:betweentheCityofStockton(“City”)andSwiftComplyUSOpCo,Inc.(“Contractor”).RECITALSExhibitC GeneralTermsandConditions,Paragraph7 Changes,statestheCitymaymodifythescopeofservicesandanymaterialextensionorchangeinthescopeshallbememorializedina writtenamendmentpriortotheperformanceofadditionalwork;and ExhibitC GeneralTermsandConditions,Paragraph8 Amendment,statesnovariationofthetermsofthisAgreementshallbevalidunlessanAmendmentismadeinwritingandsignedbybothparties;and TheCityneedsto increasetheCompensation,Notto Exceedamountin Paragraph3 of theStandardAgreementandExhibitE,Section1.1,by$154,957topayfortheContractortoincorporatestormwatermodulesintotheexistingEnvironmentalControlEnforcementSoftware(System)toautomateandstreamlinetheCity'scompliancewithEPArequirements.
Nowtherefore,theCityandtheContractormutuallyagreeasfollows:
1.ThemaximumnottoexceedamounttobepaidtotheContractor, includingifauthorized,reimbursementofexpenses,inParagraph3oftheStandardAgreementandExhibitE,Section1.1,willnowreadasfollows:
“ThemaximumnottoexceedamountinParagraph3oftheStandardAgreementandExhibitE,Section1.1,isamendedto:$384,640.
2.ExhibitAisamendedtoincludetheadditionofStormwatermodulesintotheSystemScopeofWorkasoutlinedinAttachment1–ScopeofWork
3.ExhibitE,Section1.1willbeamendedtoreadasfollows:
“ThemaximumtheContractorshallbepaidonthisAgreementis$384,640(hereafterthe“nottoexceed”amount).The“nottoexceed”amountincludesCityapprovedreimbursableexpenses,ifany, andallpaymentstobemadepursuanttothisAgreement’ssumfortheinitialtermandextendedterm.NothinginthisAgreementrequirestheCitytopayforworkthatdoesnotmeettheStandardofPerformanceidentifiedinExhibitDsection4orotherrequirementsofthisAgreement.”InitialTermthemaximumnottoexceedamountis$229,683.00ExtendedTermthemaximumnottoexceedamountis$154,957.00TotalmaximumcompensationtobepaidtotheContractorunderthisAgreementfortheinitialtermshallnotexceed$384,640.00
