CITY OF STOCKTON
STANDARD AGREEMENT AMENDMENT
This Amendment Number 4 to the above referenced Agreement is entered into on ________________ : between the City of Stockton (“City”) and Naviant LLC (“Contractor”).
RECITALS
Master Agreement, Article 5, Appendices, states all of this Agreement’s Appendices may be amended, from time to time to improve the level of service and/or communication, by mutual written agreement between the parties; and
The City needs to extend the term specified in Article 11 of the Master Agreement to December 31, 2026, and add two (2) optional one-year extensions; and
The City needs to increase the Compensation, Not to Exceed amount in Attachment A, Appendix A, Statement of Work, Section 2, by $96,953.94 to pay the Contractor for the extension through December 31, 2026, for a total aggregate amount of $1,110,166.14; and
The City needs to amend Attachment A, Appendix A, Statement of Work, Section 2.1 effective April 1, 2026 to reflect a new pricing structure for the services provided; and Now therefore, the City and the Contractor mutually agree as follows:
1. The first paragraph of Master Agreement, Article 11, Term, shall be updated and amended as follows:
“This Agreement will remain in effect through December 31, 2026 (“Expiration Date”), unless extended by mutual written agreement of the parties. This Expiration Date shall replace and supersede the expiration date written on the face of this Agreement. This Agreement provides for two (2) one (1) year extensions subject to the pricing structure outlined below and in Appendix F”
All other terms stated in Article 11 shall remain in effect.
2. Effective April 1, 2026, and continuing through the Expiration Date and any optional extension(s), Attachment A, Appendix A, Statement of Work, Section 2.1, will be updated and replaced as follows:
“2. Project Scope
2.1 Monthly hardware, software and administration services will be $10,772.66 monthly.” The table provided in Attachment A, Appendix A, Statement of Work, Section 2.1 shall be removed.
3. The not to exceed amount stated in Section III of the Agreement shall be increased to $1,110,166.14.
All other terms and conditions of the Agreement shall remain unchanged and remain in full force and effect unless modified by a written amendment signed by both parties.

City of Stockton - Multiple Year Renewal Agreement 3 February 2026 This is a Renewal of the Software Subscription Agreement dated 3 February 2026 ("Renewal") and is made and entered into effective as of the date that the last party to sign this Renew a l has executed the same (as indicated by the date entered by such party with its signature below) (the "Renewal Effective Date"), by and between Naviant, LLC (hereinafter referred to as "Naviant") and City of Stockton (hereinafter referred to as "Customer").
RECITALS:
WHEREAS, Naviant and Customer wish to enter into this Renewal to set forth their mutual understanding in connection with th e a gr e e d u po n renewal p er i o d and special pricing for the r e n e w a l p e r i o d payable by Customer to Naviant as set forth herein; WHEREAS, Customer and Naviant entered into Standard Terms and Conditions dated February 16, 2022, whereby Customer agreed to abide by the provisions set forth in the SLA Provisions, PMA Provisions, as well as Subscription Maintenance, if applicable, as those terms are referenced in the Subscription Agreement or EULA, and for which those terms will continue to apply except as specifically noted below.
NOW, THEREFORE, the parties mutually agree as follows:
RENEWAL TERM: The original Software Subscription Agreement term is hereby renewed for a 6-month renewal from July 1, 2026 through December 31, 2026, with two optional one-year renewal terms thereafter. Pricing for services from April 1, 2026 through June 30, 2026, and through the remainder of the 6-month renewal term through December 31, 2026 shall be as outlined below. Revised pricing will be effective April 1, 2026, and with up to two optional one-year renewal extensions, ending on December 31, 2028.
PRICING FOR RENEWAL TERM: Provided Customer is in compliance with the terms of the Standard Terms and Conditions dated February 16, 2022, Naviant has agreed to invoice Customer monthly and Customer shall pay the following Software Subscription Agreement Fees for each Subscription periods monthly, which represents a locked 6.5% increase in pricing:

04/01/2026-12/31/2026 On Base Subscription: $82,328.94 + SLA: $14,625.00 = Total: $96,953.94 Prorated rate (Annual Rate: On Base $109,771.92 + SLA $19,500) 01/01/2027 -12/31 /2027 On Base Subscription: $116,907.09 + SLA: $20,767.50 = Total: $137,674.59 01 /01 /2028-12/31 /2028 On Base Subscription: $124,506.06 + SLA: $22,117.39 = Total: $146,623.45 The aforementioned pricing is contingent upon a six-month renewal from July 1, 2026 through December 31, 2026, with revised pricing and terms for April 1, 2026 through the original term ending June 30, 2026, with two one-year renewal options (33 total months) subscription renewal commitment for the stated Renewal Term. Any additions made to Customer's On Base system or subscription agreements are not included in the subscription pricing above.
Pricing is based on a Hyland On Base system as it exists as of the Renewal Effective Date and is subject to change with additional purchases or changes. Any applicable Extended Support Fee (ESF) is not included in the pricing. Will be charged by Hyland as applicable.

OTHER TERMS UNAFFECTED: All terms, provisions and obligations of the parties contained in the Software Subscription Agreement, as well as the Standard Terms and Conditions, not specifically modified herein shall remain in full force and effect.

Any previous drafts of this agreement or previous documents used to evaluate this project are not part of this agreement. Naviant will not be obligated to accept any agreement which has not been signed and returned by Customer to Naviant within thirty (30) days from the date on this Renewal Agreement.
This Renewal Agreement has been prepared in accordance with Naviant's understanding of Customer requirements based on the information provided by Customer to Naviant. Therefore, it is understood and agreed that any additional hardware, software, professional services, and maintenance requests above and beyond the original scope of this Agreement will be billed in addition to those listed in this Agreement
If a PO is required, the PO number must be inserted above upon Customer's execution of this Agreement. Any terms and conditions appearing in any PO shall have no effect unless agreed to in writing by both parties hereof.
