Resolution No.

STOCKTON CITY COUNCIL

RESOLUTION APPROVING FINDINGS AND AUTHORIZING THE PURCHASE OF MEMBRANE FILTERS AND REPLACEMENT PARTS FROM ENVIRONMENTAL DYNAMICS INTERNATIONAL FOR THE REGIONAL WASTEWATER CONTROL FACILITY The Regional Wastewater Control Facility (RWCF) Modifications Project replaced the outdated aeration basin systems with four Environmental Dynamis International (EDI) aeration basin systems to remove biological contaminants from collected wastewater; and The EDI aeration basin systems require EDI repair and replacement parts to maintain proper operation; and EDI is the sole manufacturer and source for replacement membrane filters and materials; and The EDI aeration basin systems are operated and maintained by MUD Maintenance staff but require EDI replacement parts to continue performing as designed by the manufacturer; now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF STOCKTON, AS FOLLOWS:

The City Council approves the following findings pursuant to Stockton Municipal Code Section 3.68.070 to support and justify an exception to the competitive bidding process:

Maintaining the aeration basin systems according to manufacturer specifications is essential to ensure they effectively remove biological contaminants during the sewer treatment process.

The EDI aeration basins require the use of original manufacturer materials for proper operation, performance guarantees, and the lowest life-cycle cost.

EDI is the manufacturer and sole provider of required membranes and replacement parts in the United States.

Maintaining and repairing the EDI aeration basin systems is more cost-effective than replacing them with an alternative system.

The City Council authorizes a nine-year sole source agreement with Environmental Dynamics International of Columbia, MO, in an amount not to exceed $900,000, for the purchase of membrane filters and replacement parts for the aeration basin systems, a copy of which is attached as Exhibit 1 and incorporated by this reference.

The City Manager or designee is hereby authorized to take appropriate and necessary actions to carry out the purpose and intent of this Resolution.

PASSED, APPROVED, and ADOPTED September 29, 2026 .
