Cooperative Funding Agreement
AMENDMENT NO. 1 TO FUNDING AGREEMENT
BETWEEN THE CITY OF SUNNYV ALE AND
THE SANTA CLARA V ALLEY TRANSPORTATION AUTHORITY
FOR 2010 MEASURE B VEHICLE REGISTRATION FEE
COUNTYWIDE PROGRAM
This Amendment No. 1 (“AMENDMENT NO.1”) to Funding Agreement Between the City of Sunnyvale and the Santa Clara Valley Transportation Authority for 2010 Measure B Vehicle Registration Fee County Wide Program (“FUNDING AGREEMENT”) is entered into between the CITY of SUNNYV ALE, whose address is 456 W Olive Ave, Sunnyvale, California 94086 (“GRANTEE”), and Santa Clara Valley Transportation Authority (VTA), whose address is 3331 North First Street, San Jose, California 95134 (“VTA”). GRANTEE and VTA may also be referred to each as “Party” or collectively as “PARTIES”.
RECITALS
1. GRANTEE and VTA entered into FUNDINGAGREEMENT, on February 14 , 2022, to define the terms and condition under which the Vehicle Registration Fee Program – Cycle 3 Project will be installed and implemented.
2. GRANTEE and VTA now seek to extend the end of the term of the FUNDING AGREEMENT from December 31, 2022 to December 31, 2024.
IT IS THEREFORE MUTUALLY AGREED
3. Section 2 is hereby replaced in its entirety to read as follows:
2. The term of this Funding Agreement shall commence on the Effective Date (as defined in the signature block below) and shall continue until the earlier of: (i) the date that the Project is completed or terminated; or (ii) the close of business on December 31, 2024.
4. All other terms and conditions of FUNDINGAGREEMENT shall remain in full force and effect.
5. This AMENDMENT NO. 1 is hereby deemed to be a part of FUNDING AGREEMENT.

2. Each Party has the authority to enter into this AMENDMENT NO. 1.
