DRAFT SECOND AMENDMENT TO ON-CALL TEMPORARY
PERSONNEL SERVICES AGREEMENT BETWEEN THE
CITY OF SUNNYVALE AND AGREEYA SOLUTIONS, INC.
Thi
s Second Amendment to On -Call Temporary Personnel Services Agreement, dated _____________, is by and between the CITY OF SUNNYVALE ("CITY"), a California chartered municipal corporation for the state of California, and AgreeYa Solutions, Inc., ("AGENCY").
WHE
REAS, the CITY and AGENCY entered into an Agreement on November 18, 2022 , whereby AGENCY would provide on-call temporary staffing for IT support (“Agreement”); and WHE
REAS, the CITY and AGENCY entered into an Amendment on June 21, 2023, whereby the total compensation payable under the agreement was increased to $240,000.00; and WHE
REAS, the CITY and AGENCY now agree that an Amendment to said Agreement is advisable;
NOW,
THEREFORE, THE CITY AND AGENCY ENTER INTO THIS SECOND AMENDMENT TO ON-CALL TEMPORARY PERSONNEL SERVICES AGREEMENT:

ion 4 entitled “Compensation” is hereby amended, in part, to read as follows:

ace the second sentence of this section with the following:] Total
compensation shall not exceed Four Hundred Seventy Thousand and No/100 Dollars ($470,000.00).
2. All
other terms and conditions remain unchanged and are in effect.
