THIRD AMENDMENT TO ON-CALL TEMPORARY
PERSONNEL SERVICES AGREEMENT BETWEEN THE
CITY OF SUNNYVALE AND AGREEYA SOLUTIONS, INC.
This Third Amendment to On-Call Temporary Personnel Services Agreement, dated _____________, is by and between the CITY OF SUNNYVALE ("CITY"), a California chartered municipal corporation for the state of California, and AgreeYa Solutions, Inc., ("AGENCY").
WHEREAS, the CITY and AGEN CY entered into an Agreem ent on November 18, 2022, whereby AGENCY would provide on-call temporary staffing for IT support (“Agreement”); and WHEREAS, the CITY and AGENCY entered into Amendment 1 on June 21, 2023, whereby the total compensation payable under the agreement was increased to $240,000.00; and WHEREAS, the CITY and AGENCY entered in to Amendment 2 on November 28, 2023, whereby the total compensation payable under the agreement was increased to $470,000.00; and
WHEREAS, the CITY and AGENCY now agree that an Amendment to said Agreement is advisable;
NOW, THEREFORE, THE CITY AND AGENCY ENTER INTO THIS SECOND AMENDMENT TO ON-CALL TEMPORARY PERSONNEL SERVICES AGREEMENT:
1. Section 4 entitled “Compensation” is her eby amended, in part, to read as follows:
4 . Compensation
[Replace the second sentence of this section with the following:] Total compensation shall not exceed Four Hundred Eighty-Five T housand and 00/100 Dollars
($485,000.00).
2. All other terms and conditions remain unchanged and are in effect.
