REINSTATEMENT AND AMENDMENT ONE
TO AGREEMENT BETWEEN
THE CITY OF SUNNYVALE AND
THE SUNNYVALE SISTER CITY ASSOCIATION
T
HIS AMENDMENT ONE to the Agreement made and entered into on April 10, 2018 (“Agreement”), between the CITY OF SUNNYVALE (“City”), a chartered municipal corporation , and the Sunnyvale Sister City Association (“SSCA”), a 501(c)(3) nonprofit organization, is entered into this _____ day of __________, 2025.
RECITALS
WHEREAS, City and SSCA entered into an agreement on or about April 10, 2018, pursuant to City’s policy governing relationships with outside groups that allowed SSCA limited use of City facilities in exchange for a corresponding level of in-kind volunteer service hours; and W
HEREAS, the original term of the Agreement was three years, and the City Council authorized the City Manager to approve up to two, two-year extensions, which were executed in 2021 and 2023; and

HEREAS, the Agreement expired on April 10, 2025, and the City and SSCA wish to reinstate the agreement and extend the term for one year.

OW, THEREFORE, the parties agree to amend the Agreement as follows:

he Agreement is hereby reinstated.
2. Se
ction 12 of the Agreement is hereby amended to read as follows:
12. D
uration of Agreement. This Agreement shall continue from the date of execution for a period of eight (8 ) years, unless otherwise terminated in accordance with section 13 below.
3. A
ll of the terms and conditions of the Agreement not specifically modified by this Amendment shall remain in full force and effect.
