City of Taft Agenda Report
DATE: MAY 20, 2025
TO: HONORABLE MAYOR AND COUNCIL MEMBERS
AGENDA MATTER:
2025-2026 APPROPRIATIONS LIMIT
SUMMARY STATEMENT:

The City Council must annually establish a spending limit for the coming fiscal year as a requirement of Proposition 4, which was adopted in 1979 and modified June 5, 1990, when voters approved Proposition 111.

Beginning with the 1990-91 appropriations limit, the annual adjustment factors changed. Instead of using the lesser of California Per Capita Income or U.S.C.P.I. to measure inflation, each city may choose:

1. The growth in the California Per Capita Income, or the growth in the non-residential assessed valuation due to new construction within the city.

2. Instead of using only the population growth of the city, each city may choose to use the population growth within its county.

These are both annual elections.

The decision as to which of the options to select must be made by a recorded vote of the City Council.

The data necessary to calculate the increase in the non-residential assessed valuation for FY 2025- 2026 is not available from the County Assessor's Office until late July or August 2025; however, the valuation for FY 2024-2025 is available.

It is recommended that the City adopt its 2025-2026 appropriations limit using the alternative factor of non-residential assessed valuation for the inflationary adjustment. The computation shows that the City's inflationary adjustment factor is 1.000086% and the appropriation limit for 2025-2026 fiscal year is $6,628,356 (see attached worksheet).

RECOMMENDED ACTION
Motion to adopt a resolution entitled A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TAFT ESTABLISHING APPROPRIATIONS LIMIT FOR 2025-2026 and find that the activity is not a project per the California Environmental Quality Act (CEQA) as set forth in Section 15060(c)(3) and Section 15378 of the CEQA Guidelines.

RESOLUTION NO. 4297-25

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TAFT
ESTABLISHING APPROPRIATIONS LIMIT FOR 2025-2026
WHEREAS, cities are required to establish appropriations limits pursuant to Proposition 111 each fiscal year; and
WHEREAS, appropriations limits are developed based upon base year 1986-87 appropriations; and WHEREAS, the 1986-87 appropriations for the City of Taft have been set at $2,308,812; and WHEREAS, the City chooses the percentage change in California non-residential assessed valuation as a basis for computing the appropriation limit; and
WHEREAS, the City chooses as an adjustment factor the growth in the County population; and WHEREAS, based upon state formulas, the 2025-2026 appropriation limit is 1.000086% above the 2024-2025 limit.

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Taft that the City Council hereby establishes the appropriation limit for the 2025-2026 fiscal year at $6,628,356.

APPROVAL OF AMENDEDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT WITH J.A.S.

PACIFIC FOR CONTRACT BUILDING PLAN CHECK, BUILDING OFFICIAL, PLANNER AND

INSPECTION SERVICES
SUMMARY STATEMENT:

On April 15, 2014, the City of Taft entered into a professional services agreement with JAS Pacific (JAS) for plan check review services. The agreement was needed in order to provide expedited, effective and efficient processing of building plan checks and permit issuance. The service was also needed as the City does not have a licensed engineer to review structural calculations or a Certified Accessibility Specialist (CASp) for reviewing ADA compliance.

The first amendment to the agreement, in 2017, occurred when the City needed contract Building Official services.

The Planning Director recently discussed with the Vice President of JAS, Jeff Janes, for this second amendment to the agreement to update the hourly rates for Building Official, Inspector and Planning services. The Planning services have been added to provide one-stop-shop services for reviewing new landscape installation and irrigation plans associated with new construction plans.

RECOMMENDED ACTION
Motion to approve Amendment No. 2 of the Professional Services Agreement with JAS Pacific updating the contract billing rates for Building Plan Check, Building Official, Planning and Inspection Services; and find that the activity is not a project per the California Environmental Quality Act (CEQA) as set forth in Section 15030(c)(3) and Section 15378 of the CEQA Guidelines.

AGENDA MATTER:

LEASE AGREEMENT WITH CALIFORNIANS FOR ENERGY & SCIENCE FOR 410 SUPPLY ROW SUMMARY STATEMENT:

The City received a request to lease city property located at 410 Supply from Californians for Science & Energy.

This property has historically been oilfield equipment supply businesses and has been vacant for over a decade. Being vacant has made the building susceptible to vandalism, squatting and becoming an eyesore to the downtown area. The building is currently in need of repairs and improvements to bring it up to current codes, and Californians for Science & Energy is willing to make the improvements as a part of their Lease Agreement.

Californians for Science & Energy is a nonprofit organization committed to researching and advocating for local oil production in Kern County and showcasing the great environmental stewardship and social attributes of California’s energy systems, emphasizing the needs of underserved populations like Taft and the great resources that these producers provide. They have proposed utilizing 410 Supply Row as a dedicated space for their team to conduct air quality assessments and research activities. The facility will serve as the hub for data collection and analysis to be used at community engagement and fundraising events around the county, focusing on educating residents on the importance of local production and the benefits to the community.

They, in their grass root efforts, are also utilizing Taft’s youth that have a career focus in oil in the performance of this research.

Findings can be made that Californians for Science & Energy’s being a nonprofit, providing advocacy for the local oil industry with goals and objectives in line with the City’s support of the oil and gas industry offers benefit to the community. Therefore, leasing the building to them at no cost to have them located locally is a public benefit.

RECOMMENDED ACTION
Motion to adopt a resolution entitled A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TAFT AUTHORIZING AND APPROVING THE LEASE OF 410 SUPPLY ROW TAFT, CA TO CALIFORNIANS FOR

ENERGY & SCIENCE, A NONPROFIT COMMITTED TO RESEARCHING AND ADVOCATING FOR LOCAL OIL PRODUCTION AND ESTABLISHING THE PUBLIC BENEFIT and find that the activity is not a project per the California Environmental Quality Act (CEQA) as set forth in Section 15060(c)(3) and Section 15378 of the CEQA Guidelines.

Tenant shall not erect any signs or other improvements on the Land without the approval of Landlord, which approval may be withheld in the sole discretion of Landlord, unless such signs are required by state or federal law, in which case such approval shall not be unreasonably withheld or delayed.

2.3 Maintenance and General Cleanup of the Leased Land Required at Commencement of this Lease Agreement. Tenant is agreeing to take possession of the Land in AS-IS condition, and as a condition to this Lease Agreement, Tenant agrees to provide cleanup of the property, removing and properly disposing of any and all obsolete items on the Land at the time Tenant takes possession. Tenant agrees that its clean up of the Land shall strictly comply with all current laws regarding recycling and disposal.

2.4 Maintenance and Repair. Tenant agrees that immediately upon taking possession of the Land, Tenant shall commence to make all required repairs to bring the building which currently exists on the Land into compliance with State and local standards. Tenant further agrees that its required repairs to the structure existing on the land shall be to a standard required to meet or exceed all inspections for its occupancy. Tenant will keep and maintain the improvements and natural features at the Land in good condition and repair. Tenant will keep the Land free from all trash, debris, weeds, and waste. Landlord will provide Tenant with access to the Land twenty-four (24) hours per day, seven (7) days a week, three hundred and sixty-five (365) days a year, subject to the limitations set forth in section 2.8 of this Lease Agreement. Notwithstanding anything to the contrary contained in this Lease Agreement, if, in the exercise of any rights hereunder, Tenant, its licensees, agents, employees, customers, or anyone doing business with Tenant shall cause damage to the Land or any part of it, including without limitation any structure on the Land, or to any equipment located on the Land, then Tenant shall, within ten (10) days after receipt of a statement from Landlord evidencing the amount of such damage, pay Landlord the costs to repair such damage. The cost of repair shall include a reasonable sum to compensate Landlord for its direct and indirect staff time in obtaining quotes for the repair work and preparing the statement to Tenant. Tenant further agrees that in the event any damage described in this section occurs, and such damage is not of an emergency nature, it shall be Tenant’s responsibility to notify Landlord within forty-eight (48) hours of said damage. In the event such damage is of an emergency nature, then Tenant shall be responsible for notifying Landlord immediately.

Tenant further agrees that under all circumstances Landlord may opt to demand that Tenant immediately repair said damage rather than have Landlord perform such repairs. Tenant shall then have ten (10) business days to repair said damage at Tenant’s sole expense. The decision as to whether Landlord or Tenant makes said repairs shall be in Landlord’s sole discretion. If Tenant fails to perform said repair after demand by Landlord, then Landlord may immediately enter the Land and make all repairs at Tenant’s expense.

Whether Landlord opts to perform repairs to the Land itself (or via Landlord’s contractor), or whether Landlord opts to demand that Tenant make said repairs, the cost of said repairs shall be Tenant’s obligation to pay. All bills sent by Landlord to Tenant for repairs and/or maintenance shall be due in full no later than thirty (30) days after the bill is mailed to Tenant.

Any time throughout this Lease Agreement that Landlord has the right to perform an action, including without limitation maintenance and repairs, the right of Landlord shall be to have such action taken and/or performed by Landlord or Landlord’s employees, contractors, affiliates, and/or law enforcement personnel, in Landlord’s sole discretion.

Tenant’s obligation to keep and maintain the improvements in good condition and repair shall include, without limitation, painting, replacing broken windows or other features, and fencing of all property in conformance with all city codes and ordinances. Tenant acknowledges and agrees that the Land is located in a location that is culturally significant to the City of Taft and a key

Page 4 of 11 ends

feature in the City of Taft’s public events. Therefore, Tenant agrees that fencing, gates, and buildings on the Land must be maintained in pristine condition at all times, and that a breach of Tenant’s obligation to maintain said pristine condition shall be a material breach of this Lease Agreement. Tenant’s obligation to install, repair, and maintain all fencing in a pristine condition shall include without limitation all gates located in the fence line and allowing access in and out of the Land.

Tenant further acknowledges and agrees that Landlord may, in its sole discretion, use the standards described in the City of Taft’s municipal code to determine whether Tenant is maintaining the Land in a condition sufficient to meet the obligations under this Lease Agreement, and that all code enforcement violations shall constitute a material breach of this Lease Agreement.

2.5 Fuels and Hazardous Materials. Tenant shall take all necessary precautions to prevent the release into the environment and/or onto the ground of the Land any hazardous materials and/or substances. Such precautions shall include compliance with all governmental requirements with respect to hazardous materials. In addition, Tenant shall install and utilize such equipment and implement and adhere to such procedures as are consistent with commercially reasonable standards, as well as all applicable state and federal laws, respecting the disclosure, storage, use, removal, and disposal of hazardous materials and/or chemicals. Such hazardous materials and chemicals shall include, without limitation, liquids, oil, automobile fluids, and particulate matter.

Tenant shall not store any hazardous material on the Land.

2.6 Tenant Indemnity. In addition to any indemnity provided for elsewhere in this Lease Agreement, Tenant agrees to indemnify, defend, and hold City, its officers, employees, agents, and representatives (hereafter “Indemnitees”) harmless from and against any claim, action, suit, proceeding, loss, cost, damage, liability, deficiency, fine, penalty, punitive damage, or expense (including, without limitation, reasonable attorneys’ fees), resulting from, arising out of, or based on (i) the presence, release, use generation, discharge, storage, or disposal of any hazardous materials on , under, in or about, or the transportation of any such hazardous materials to or from the Land, which occurs on or after the Effective Date of this Lease Agreement, or (ii) the violation, or alleged violation, of any statute, ordinance, rule, regulation, permit, judgment or license relating to the use, generation, release, discharge, storage, disposal or transportation of hazardous materials on, under, in or about, to or from, the Land which occurs on or after the Effective Date of this Lease Agreement. This indemnity shall include, without limitation, any damage, liability, fine, penalty, parallel indemnity or expense arising from or out of any claim, action, suit or proceeding for personal injury (including sickness, disease or death), tangible or intangible property damage, compensation for lost wages, business income, profits or other economic loss, damage to the natural resource of the environment, nuisance, contamination, leak, spill, release or other adverse effect on the environment. The indemnity described in this paragraph shall survive the termination of this Lease Agreement.

2.7 Discovery of Possession. Landlord will deliver possession of the Land to Tenant on the Effective Date, “AS-IS” in its present condition. Tenant acknowledges that neither Landlord nor its agents or employees have made any representations or warranties as to the suitability or fitness of the Land for the conduct of Tenant’s business or as to the physical condition of the Land, nor has Landlord or its agents or employees agreed to undertake any alterations or construct any improvements to the Land. Tenant here acknowledges and agrees that prior to executing this Lease Agreement Tenant has had the opportunity to inspect and evaluate the Land, and to have Tenant’s

Page 5 of 11 ends

agents do so, to determine and confirm the Land’s suitability for the purposes which Tenant intends to use the Land under the terms of this Lease Agreement.

2.8 Governmental Approvals. Tenant shall, at its sole cost and expense before the Effective Date, apply and obtain all licenses, permits, approvals, required by any local, state or federal governmental authorities for its use of the Land, including without limitation, all applications for zoning variances, zoning ordinances, building code variances, amendments, special use permits, and construction permits and other licenses and approvals necessary for the operation of Tenant’s business from the Land (collectively, the “Governmental Approvals”).

2.9 Access. Tenant shall be provided access to the Land, across Landlord’s Property. In accessing the Land, Tenant shall not interfere with Landlords operations and Tenant shall not in any manner block access to the gate or to any other facilities on Landlord’s Property. Landlord may from time to time, with a twenty-four (24) hour prior notice to Tenant, impose such reasonable restrictions on the time and means of access to the Land as Landlord deems necessary for security precautions.

Tenant agrees that it will not change locks on any gates to Landlord’s Property or the Land, or install additional locks on such gates.

2.10 Security On-Site. Tenant acknowledges and agrees that Tenant shall maintain locked and secured fencing around the Land at all times, and that any and all gates shall remain locked at all times except when such gates must be open to permit entrance to and exit from the Land.

ARTICLE 3 -- UTILITIES AND TAXES

3.1 Utilities. Tenant shall, at its sole cost and expense, arrange for electricity, water, gas, and other utilities necessary for Tenant’s operations to be provided to the Land directly from such providers.

Tenant shall be billed directly for the use of such services, and shall promptly pay the same when due.

3.2 Taxes. Tenant shall pay additional taxes or assessments, if any, which may be levied or charged to Landlord as a result of Tenant’s use or occupancy of the Land, including but not limited to, assessments upon or measured by Rent., including without limitation, any gross revenue tax, excise tax, or value added tax levied by the Federal government or any other governmental body with respect to the receipt of Rent; and upon this transaction or any document to which Tenant is a party created or transferring an interest or an estate in the Land. Tenant shall promptly pay all personal property taxes on Tenant’s Improvements and personal property and any other taxes payable by Tenant as due.

3.3 Limitation on Liability. Landlord will not be in default under this Lease or be liable to Tenant or any other person, for direct or consequential damages, or otherwise, for any failure to supply any electricity, water, gas, security or other utilities, or for surges or interruptions of electricity, or other such services or utilities.

ARTICLE 4 – INSURANCE

4.1 Tenant’s Insurance. At all times during the Term, Tenant will carry and maintain, at Tenant’s expense, the following insurance in the amounts specified below or such other amounts as landlord may from time-to-time reasonably request.

Page 6 of 11 ends

4.2 (a) Bodily injury and property damage liability insurance, with a combined single occurrence limit of not less than $2,000,000 and an aggregate limit of at least $4,000,000. All such insurance will be equivalent to coverage offered by a Commercial General Liability form including, without limitation, personal injury, death of persons or damage to property occurring in on or about the Land and contractual liability coverage for the performance by the Tenant of the indemnity agreements set forth in this Lease;
(b) Tenant will provide, at its sole expense, shall keep the building and any other improvements now or hereafter located upon the Land insured against loss by fire, vandalism, malicious mischief and normal extended coverage risks, with an insurance company acceptable to the Landlord in an amount not less than $500,000 without deduction for depreciation. (c) Additional insurance reasonably requested by Landlord.

Forms of the Policies: All such insurance shall be placed with insurers having an A.M.

Best’s rating of B+XIII and under such form of policies acceptable to Landlord. Certificates of Insurance, together with copies of endorsements, when applicable, listing Landlord and any other specified by Landlord as additional insureds, will be delivered to Landlord prior to Tenant’s occupancy of the Land and from time to time at least 10 days prior to the expiration of the term of each such policy. All Commercial General Liability or comparable policies maintained by Tenant will list Landlord and such other persons or entities as Landlord specifies from time to time as additional insured parties, entitling them to recover under such policies for any loss sustained by them, their agents and employees. All such policies maintained by Tenant will provide that they may not be terminated nor may coverage be reduced except after 30 days’ prior written notice to Landlord. All commercial General Liability and property policies maintained by Tenant will be written as primary policies, not contributing with and not supplemental to the coverage that Landlord may carry.

4.3 Waiver of Subrogation. Landlord and Tenant each waive any and all rights to recover against the other or against officers, directors, shareholders, partners, joint ventures, employees, agents, customers, invitees or business visitors of such other party, for any loss or damage to such waiving party arising from any cause covered by any property insurance required to be carried by such party pursuant to this Article or any other property insurance actually carried by such party to the extent of the limits of such policy. Landlord and Tenant, from time to time, will cause their respective insurers to issue appropriate waiver of subrogation rights endorsements to all property insurance policies carried in connection with the Land or the contents of the Land.

ARTICLE 5 -- INDEMNIFICATION, WAIVER, AND RELEASE

5.1 Tenant’s Indemnification. From and after execution of this Lease, Tenant assumes all risks of its own operations, and those of its agents, employees, independent contractors, and invitees or others and shall indemnify, defend and hold harmless Landlord, its employees, directors, officers and agents from and against any and all demands, claims, causes of action, fines, penalties, damages (including consequential damages), liabilities, judgments and expenses (including, without limitation, reasonable attorneys’ fees and expert witness fees) which arise out of or relate to:

Page 7 of 11 ends

(a) The use or occupancy or manner of use or occupancy of the Land by Tenant or any person claiming under Tenant;
(b) Any activity, work, or things done or permitted by Tenant in or about the Land; (c) Any breach by tenant or its employees, agents, contractors or invitees of this Lease; and (d) Any injury, loss or damage to the person, property or business of Tenant, its employees, agents or contractors or any invitees entering upon the Land under the express or implied invitation of Tenant.

If any action or proceeding is brought against Landlord or its employees, directors, officers or agents by reason of any such claim for which Tenant has indemnified Landlord, Tenant, upon written notice from Landlord, will defend the same at Tenant’s expense with counsel reasonably satisfactory to Landlord. Tenant’s obligations under this Section shall survive the expiration or other termination of this Lease.

5.2 Waiver and Release. Tenant, as a material part of the consideration to Landlord for this Lease, by this section waives and releases all claims against Landlord, its directors, officers, employees and agents with respect to all matters for which Landlord has disclaimed liability pursuant to the provisions of this Lease.

ARTICLE 6 -- END OF TERM.

6.1 Surrender. Upon expiration or earlier termination of this Lease Agreement, Tenant shall surrender the Land to Landlord. Tenant will also restore the Land to its original condition as of the Effective Date, reasonable wear and tear excepted. Unless otherwise agreed in writing, all alterations, additions, and improvements shall become the property of Landlord and shall remain on the Premises at the expiration or termination of this Lease; provided, however, that Landlord, at its option, may require Tenant to remove any such alterations, additions or improvements.

Tenant’s obligations under this section shall survive the expiration or other termination of this Lease Agreement.

ARTICLE 7 -- MAINTENANCE; REQUIREMENTS OF LAW.

7.1 Maintenance. Tenant shall at all times throughout the Term, at its sole cost and expense, maintain and repair the Land, the Improvements, and all trade fixtures and personal property of Tenant located thereon.

7.2 Compliance with Laws. For the purpose of this Section 7.2, “Applicable Laws” means all laws, statutes, ordinances and governmental rules, regulations, or requirements now in force or in force after the Effective Date, the requirements of any board of fire underwriters or other similar body constituted now or after the Effective Date, and any direction or permanent occupancy certificate issued pursuant to any law by and public officer or officers, as well as the provisions of all recorded documents affecting the Land. At its sole cost and expense, Tenant will promptly comply with Applicable Laws insofar as they relate to
(a) Tenant’s use, occupancy or alteration of the Land;

Page 8 of 11 ends

(b) The condition of the Land resulting from Tenant’s use, occupancy, or alteration of the Land;
(c) Alterations to the Land required as a result of Tenant’s status under Applicable Laws.

ARTICLE 8 - DEFAULT

8.1 Events of Default. The following events are referred to, collectively, as “Events of Default” or, individually, as an “Event of Default”:
(a) Tenant vacates or abandons the Premises;
(b) This lease or the Land or any part of the Land are taken upon execution or by other process of law directed against Tenant, or are taken upon or subject to any attachment by any creditor of Tenant or claimant against Tenant, and said attachment is not discharged or disposed of within fifteen (15) days after its levy;
(c) Tenant purports to assign this Lease Agreement, or sublet all or a portion of the Land in violation of the terms hereof;
(d) Any recordation in violation of Section 9.12 below; or, (e) Tenant breaches any of the other agreements, terms, covenants or conditions which this Lease Agreement requires Tenant to perform or requires Tenant not to perform, and such breach continues for a period of ten (10) days after written notice from Landlord to Tenant or, if such breach cannot be cured reasonably within such ten (10) day period, if Tenant fails to diligently commence to cure such breach within ten (10) days after written notice from Landlord and to complete such cure within a reasonable time thereafter, or immediately if Tenant cures such breach within said period of ten (10) days but thereafter repeats the same breach.

8.2 Replacement of Statutory Notice Requirements. When this Lease Agreement requires service of a notice, that notice shall replace rather than supplement any equivalent or similar statutory notice, including any notices required by California Code of Civil Procedure Section 1161 or any similar or successor statute. When a statute requires service of notice in a particular manner, service of that notice (or a similar notice required by this Lease Agreement) in the manner required by Section 9.6 shall replace and satisfy the statutory service of notice procedures, including those required by California Code of Civil Procedure Section 1162 or any similar or successor statute.

8.3 Landlord’s Remedies. If any one or more Events of Default set forth in Section 8.1 occurs then Landlord has the right, at its election:
(a) To terminate this Lease Agreement, in which case Tenant’s right to possession of the Land will cease and this Lease Agreement will be terminated as if the expiration of the Term fixed in such notice were the end of the Term.

Page 9 of 11 ends

(b) To reenter and take possession of the Land, expel Tenant and remove the effects of Tenant, using such force for such purposes as may be necessary, without being liable for prosecution, and without prejudice to any remedies for arrears of Annual Rent or other amounts payable under this Lease Agreement. Landlord shall have the remedy described in California Civil Code Section 1951.4, which provides that, when a Tenant has the right to sublet or assign (subject only to reasonably limitations), the Landlord may continue the Lease in effect after the Tenant’s breech and abandonment and recover rent as it becomes due. Accordingly, if Landlord does not elect to terminate this Lease Agreement on account of any default by Tenant, Landlord may enforce all of Landlord’s rights and remedies under this Lease Agreement, including the right to recover all rent as it becomes due. (c) To cure any event of default and to charge Tenant for the cost of effecting such cure, including without limitation reasonable attorneys’ fees and interest provided that Landlord will have no obligation to cure any such event of default of Tenant.

In the event of termination of this Lease Agreement for any reason, all obligations of Tenant to indemnify Landlord shall remain in full force and effect and shall survive said termination.

8.4 Remedies Cumulative. Landlord’s rights hereunder shall be in addition to, and not in lieu of, every other right or remedy provided for herein or now or hereafter existing at law or in equity by statute or otherwise, including, but not limited to injunctive relief, specific performance and damages. The exercise or beginning or exercise by Landlord of any one or more rights or remedies, provided herein or now or hereafter existing at law or in equity by statute or otherwise, shall not preclude the simultaneous or later exercise by Landlord of any or all other rights or remedies provided for in this Lease Agreement or now or hereafter existing at law or in equity or by statute or otherwise. All such rights and remedies shall be considered cumulative and nonexclusive.

ARTICLE 9 GENERAL

9.1 Quiet Enjoyment. As long as Tenant performs all covenants and obligations contained in this Lease Agreement, Landlord warrants quiet enjoyment of the Land by the Tenant; provided that Landlord, its agents or representatives, and any other person authorized by Landlord may enter upon the Land for the purpose of inspecting the Land and to exhibit the Land to prospective purchasers or lenders. Any entry onto or inspection of the Land shall not constitute eviction of Tenant in whole or in part.

9.2 Condemnation. In the event of a condemnation or other taking by any governmental agency of all or a portion of the Land necessary for Tenant’s operation of its business thereon, this Lease will terminate when the condemning authority takes possession of the Land. Any such condemnation award shall be paid to Landlord, except that Tenant will have the right to assert a separate claim for reimbursement for for the cost of repairs paid for by Tenant as anticipated by section 2.4 of this Lease Agreement. Said separate claim for reimbursement shall decrease on a pro rata, basis month-by-month basis over the initial Term of this Lease Agreement. After expiration of the initial Term of this Lease Agreement, Tenant shall have no further claim for reimbursement for the cost of repairs made by Tenant.

Page 10 of 11 ends

9.3 Liens. Tenant will keep the Land free and clear of all mechanics’ liens and other liens on account of work done for Tenant or persons claiming under Tenant.

9.4 Assignment and Subletting. This Lease Agreement shall otherwise inure to the benefit of and the binding upon the successors and assigns of the parties.

9.5 Limitation on Liability. Tenant specifically agrees to look solely to Landlord’s interest in the Land for the recovery of any judgments from Landlord. It is agreed that Landlord (and its officers, directors and employees) will not be personally liable for any such judgments. The provisions contained in the proceeding sentences are not intended to, and will not, limit any right that Tenant might otherwise have to obtain injunctive relief against Landlord.

9.6 Notices. All notices and other communications required or permitted under this Lease shall be in writing and shall be given:
(a) By United States first class mail, postage prepaid, registered or certified, return receipt requested; or
(b) By hand delivery (including by means of a professional messenger service); or (c) By delivery from a nationally recognized overnight delivery service that routinely issues receipts, which notice shall be addressed to the party to whom such notice is being given, at their address set forth in Section 1.1 above. Any such notice or other communication shall be deemed to be effective when actually received or rejected. Either party may by similar notice given change the address to which future notices or other communications shall be sent.

9.7 Inspection. Landlord reserves the right to enter the Land at any time to inspect the same.

9.8 No Waiver. The waiver by either Landlord or Tenant of any agreement, condition, or provision contained in this Lease Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other agreement, condition, or provision contained in this lease.

9.9 Authority. Tenant and the party executing this Lease Agreement on behalf of Tenant represent to Landlord that such party is authorized to do so by requisite action of the board of directors, or other governing body of Tenant, as the case may be, and agree, upon request, to deliver to Landlord a resolution or similar document to that effect.

9.10 Governing Law. This lease shall be governed by and construed pursuant to the laws of the State of California.

9.11 Captions. The captions of the various Articles and sections of this Lease Agreement are for convenience only and do not necessarily define, limit, describe or construe the contents of such Articles or Sections.

9.12 Recordation. Tenant shall not record this Lease Agreement in the public records without the prior written consent of Landlord.

9.13 Severability. If any provision of this Lease Agreement proves to be illegal, invalid or unenforceable, the remainder of this Lease Agreement shall not be affected by such finding, and in lieu of each provision of this Lease Agreement that is illegal, invalid or unenforceable, a provision will be added as a part of this Lease Agreement as similar in terms to such illegal, invalid or unenforceable provision as may be possible and be legal, valid and enforceable.

9.14 Entire Agreement; Amendment. This Lease Agreement contains the entire agreement between Landlord and Tenant. No amendment, alteration, modification or, or addition to the Lease Agreement will be valid or binding unless expressed in writing and signed by Landlord and Tenant.

9.15 Attorneys’ Fees. - If any action is instituted by either party to this Lease Agreement to enforce any of the terms of this Lease or the License Agreement, the prevailing party shall be entitled to receive from Tenant its reasonable attorneys’ fees, expert witness fees, costs, and expenses.

IN WITNESS THEREOF, this Lease is executed under seal on the 20th day of May, 2025.
