Flock Safety Grantor Agreement
This Flock Safety Grantor Agreement (“Safety Grantor Agreement”) is entered into by and between Flock Group, Inc. with a place of business at 1170 Howell Mill Road NW Suite 210, Atlanta, GA 30318 (“Flock”) and the entities identified in the signature block as the City of Thousand Oaks(“Customer”) and the County of Ventura (“Agency”) (each a “Party,” and together, the “Parties”). This Safety Grantor Agreement is effective on the date of execution below.
The Parties agree as follows:
Customer shall pay for the Flock Services identified in the attached Order Form on behalf of the Agency.
Customer shall be solely liable for payment of fees set forth in the attached Order Form, subject to the billing structure and payment terms indicated. Customer is not an End User of the Agency Data, as those terms are defined in the Government Agency Agreement between Flock and Agency ("Agreement") and will not receive or access Agency Data. Customer shall not be responsible for Agency's or Flock's use of Customer Data. Agency hereby agrees to indemnify and hold harmless Customer against any damages, losses, liabilities, settlements and expenses in connection with any claim or action that arises from an alleged violation of Section
3.1 of the Agreement, a breach of the Agreement, Agency’s Installation Obligations, Agency’s sharing of any data in connection with the Flock system, Flock employees or agent or Non-Agency End Users, or otherwise from Agency’s use of the Services, Flock Hardware, Agency Hardware and any Embedded Software, including any claim that such actions violate any applicable law or third Party right.
Flock hereby agrees to indemnify and hold harmless Customer against any damages, losses, liabilities, settlements and expenses in connection with any claim or action that arises from Flock's breach of the Agreement, Flock’s use of, or sharing of, any data contemplated in the Agreement, or otherwise from Flock’s provision of the Services, Flock IP, Flock Hardware and any Embedded Software, including any claim that such actions violate any applicable law or third Party right.
Defined terms in this section shall have the same meaning as those terms are defined in the Agreement.
Agency shall retain all right, title and interest in the Customer Data and grants to Flock a limited, non-exclusive, royalty-free, irrevocable, worldwide license to use the Customer Data to provide the Flock Services to Agency.

Flock will provide the Agency the Flock Services and any access thereto, subject to the terms and conditions of this Agreement, solely for legitimate business purposes, including but not limited to the awareness, prevention, and prosecution of crime.
The Parties have executed this Agreement as of the last date set forth below.

An infrastructure-free license plate reader camera that utilizes Vehicle Fingerprint® technology to capture vehicular attributes.
The Term shall commence on the first day that all of the Flock Safety Falcons have been installed and validated.
