FIRST AMENDMENT TO
AGREEMENT FOR GENERAL SERVICES
BETWEEN THE CITY OF THOUSAND OAKS,
CONEJO RECREATION AND PARK DISTRICT,
CONEJO OPEN SPACE CONSERVATION AGENCY
AND
THE STANDARD. CONSTRUCTION dba SOCAL BRUSH

THIS FIRST AMENDMENT to the Agreement for General Services entered into between the CITY OF THOUSAND OAKS, a municipal corporation, CONEJO RECREATION AND PARK DISTRICT, and CONEJO OPEN SPACE
CONSERVATION AGENCY (hereinafter referred to as "Agencies"), and THE STANDARD. CONSTRUCTION dba SOCAL BRUSH (hereinafter referred to as "Service Provider"), entitled Weed Abatement and dated March 16, 2021 (herein “Contract”) is made this 9th day of April 2024.
RECITALS
A. Section 3 of Contract, currently, and as may have been previously amended, provides for a not to exceed total payment as
consideration to Service Provider of $1,059,287.25 for services generally and briefly described as weed abatement services in areas throughout the City of Thousand Oaks.
B. Service Provider has requested an increase to the Rate as described in Section 3 of the Contract, currently and as may have been previously amended and Agencies find the request reasonable.
C. Agencies are in need of adding additional compensation in the amount of $136,722.10 for Contract Yearly Cost and $294,000 for Extra Services, increasing the total not to exceed over the lifetime of the Contract to $1,490,009.35.
D. Agencies and Service Provider desire to increase the rate and not to exceed amount while keeping all other terms intact.
AGREEMENT TO AMEND
NOW, THEREFORE, the undersigned parties to the Contract agree to amend the Contract as described below:

Part 1. The sum of $430,722.10 is added to Contract and Exhibit B is hereby replaced in its entirety by Exhibit B-1, attached hereto and incorporated herein. Section 3 of the Contract is hereby amended to read as follows:
3. COMPENSATION AND PAYMENT
(a) Maximum. The total compensation earned by or payable to the Service Provider, by City, for any and all services under this Agreement shall not exceed $1,490,009.35 (herein "not to exceed amount”).
(b) Rate. Service Provider shall be paid a fixed sum for work performed under this Agreement, according to the schedule listed in Service Provider’s Schedule of Fees, attached as Exhibit “B-1.” Any changes or modifications resulting in an increase to this fixed sum must be approved in writing by Agencies’ Project Manager in advance, and may not surpass the not to exceed amount. (c) Payment. All payments shall be made within 30 days after receipt of written verification from Service Provider of the actual compensation earned, in a form satisfactory to Agencies' Project Manager.
(d) Extra Services. Additional work not reasonably encompassed by the Scope of Services described in Section 2 may be agreed upon only by execution of a written Amendment to this Agreement. No liability or right to compensation for extra services shall exist without such Amendment. Unless otherwise stated in the Amendment, applicable rates for extra services shall be at the rates set forth in Exhibit “B-1”.

Part 2. All terms used in Part 1 above shall have the meanings ascribed thereto in Contract. Except as amended in Part 1 above, all other sections, terms, obligations, duties, clauses, and provisions of Contract shall remain the same.
IN WITNESS WHEREOF, the parties execute this First Amendment to Contract as of the date set forth above.

SCHEDULE OF FEES
The cost of all labor, material, and equipment necessary for the completion of the work itemized, even though not shown or specified, shall be included in the unit price for the various items shown hereon. The City of Thousand Oaks reserves the right to increase or decrease the quantity of any item or omit items as may be deemed necessary, and the same shall in no way affect or make void the contract. When increases or decreases are made, appropriate additions or deductions from the contract total price will be made at the stipulated unit price.
