City of Rancho Cucamonga Scanning and Indexing Services Participation Agreement Crisp Enterprises, Inc. dba Crisp Imaging (“Crisp”) and City of Thousand Oaks (“City”) wish to establish a Participation Agreement via the City of Rancho Cucamonga “Agreement” (Agreement No. CO 2021- 033), attached hereto as Exhibit A, that was awarded to Crisp Enterprises, Inc. through a competitive Request for Proposal (RFP #20/21-014) process to provide records backfile conversion, scanning, and quality control services.
Participation Agreement. City agrees to accept all terms and conditions of Agreement (Exhibit A) except where otherwise modified by this Participation Agreement. To the extent of any conflict between the Agreement and this Participation Agreement, the terms of the Participation Agreement shall be controlling.
Description of Services. Services to be provided by Crisp include document scanning and indexing services, and are further outlined in Exhibit A.
Term and Effective Date of Agreement. Term of this participation agreement shall be July 1, 2024 through June 30, 2028, unless otherwise extended or terminated for any reason in accordance with the terms of the Agreement.
Contract Amount. Pricing shall be that set forth in Exhibit A, attached hereto and incorporated herein.
The total amount payable to Crisp under this contract shall be $80,000 (the “not-to-exceed amount”).
Signatures. Digital/Electronic Signatures. This Agreement may be executed through the use of digital or electronic signatures provided they meet the requirements of the Electronic Signatures in Global and National Commerce (ESIGN) Act and the California Uniform Electronic Transactions Act (UETA).
IN WITNESS WHEREOF, this agreement has been entered into by the parties hereto, effective upon the date written above.
