SECOND AMENDMENT TO
LEASE BETWEEN THE CITY OF THOUSAND OAKS
AND MV TRANSPORTATION, INC.
FOR OFFICE SPACE AT
THOUSAND OAKS TRANSPORTATION CENTER
Contract No. 12073-2019
THIS SECOND AMENDMENT to Lease entered between the CITY OF THOUSAND OAKS, a municipal corporation, (hereafter “City”) and MV TRANSPORTATION, INC. (hereinafter referred to as “Contractor”) entitled Thousand Oaks Transportation Center and dated May 21, 2019, and amended June 6, 2023 (herein “Contract”), is made this 10th day of September 2024.
RECITALS
A. Contract 12073-2019 was for four years to run concurrently with Contract 12072-2019 (Transit Operations Services) with two two-year extension options with the first extension approved to June 30, 2025
B. City and Contractor have mutually agreed to a second and final two-year extension of the lease from June 30, 2025, to June 30, 2027.
C. Contractor desires to modify the Consumer Price Index (CPI) adjustments described in the contract for the final two years of the extension.
D. City and Contractor desire to make the above-mentioned amendments to the Contract while keeping all other terms intact.
AGREEMENT TO AMEND
NOW, THEREFORE, the undersigned parties to Contract agree to amend Contract as described below:
Part 1. The City and Contractor agree to extend contract 12073-2019 for two years and Section 3 of the Contract is hereby amended to state the termination date as June 30, 2027.
Part 2. Section 4, Rent, subsection B, is modified to add the following sentence: For year one and year two of the two-year extension, a fixed four percent adjustment will be imposed concurrent with the operating agreement.
Part 3. All terms used in Parts 1 and 2 shall have the meanings ascribed thereto in Contract. Except as amended in Parts 1 and 2, all other sections, terms, DPW 940-10\tn\ev\Council\2024\082724\Transit Operator Agreement Amendment Att 2.docx

obligations, duties, clauses, and provisions of Contract as written and previously amended, shall remain the same.
IN WITNESS WHEREOF, the parties execute this Second Amendment to Contract as of the date set forth above.
