FIRST AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN THE CITY OF THOUSAND OAKS
AND
COTTON, SHIRES AND ASSOCIATES, INC.

THIS FIRST AMENDMENT to the Agreement for Professional Services entered into between the CITY OF THOUSAND OAKS, a municipal corporation (hereafter “City”) and COTTON, SHIRES AND ASSOCIATES, INC. (Thousand Oaks, CA) (hereafter “Consultant”), entitled Hill Canyon Treatment Plant Slope Stabilization (Cl 5736) and dated August 26, 2025 (herein “Contract”) is made this 13th day of January 2026.
RECITALS
A. Section 5 of Contract, currently, and as may have been previously amended, provides for a termination date of
December 31, 2026.
B. Section 3 (a) of the Contract, currently, and as may have been previously amended, provides for a “not-to-exceed” total payment as consideration to Consultant of $119,000 for
services generally and briefly described as preparation of the construction contract documents and services during the bidding phase.
C. City is in need of extending the termination date of the Contract, expanding the Scope of Services to be performed under the present Contract, and Consultant is desirous of performing such and receiving additional compensation for said extra services.
D. Consultant is in need of updating their Schedule of Fees, and City is agreeable to the change.
E. City is in need of adding language regarding the Levine Act in order to comply with state law.
F. City and Consultant desire to expand the scope of the Contract and update the Schedule of Fees while keeping all other terms intact.

AGREEMENT TO AMEND
NOW, THEREFORE, the undersigned parties to Contract agree to amend Contract as described below:
Part 1. The Contract is extended to June 30, 2027, and Section 5 is hereby amended to read as follows:
The term of this Agreement is from the date first written above to June 30, 2027, unless the term of this Agreement is extended, or the Agreement is terminated as provided for herein.
Part 2. Section 2 of Contract is amended to include the additional scope of work generally encompassing installation of survey prisms on the existing rock slope at strategic locations and performing monthly monitoring events to gather a baseline of recordings over the period of 12 months. A summary report shall be provided at the end of the monitoring period. The detailed scope of this additional work is attached hereto as Exhibit A-1.
Part 3. The sum of $75,000 is added as compensation to Consultant under the present Contract for the above-described additional services, and Subsection 3 (a) of Contract is hereby amended to read in its entirety as follows:
(a)Maximum and Rate. The total compensation payable to Consultant by City for the services under this Agreement SHALL NOT EXCEED the sum of $194,000, and shall be earned as the work progresses on the basis explained in the original contract, and as may have been previously amended.
Part 4. Levine Act. An updated Exhibit C-1, attached hereto and incorporated herein, are hereby added to the Contract in compliance with requirements of the Levine Act.
Part 5. Consultant’s Schedule of Fees, Exhibit B, is hereby replaced by Exhibit B-1, attached hereto and incorporated herein.
Part 6. All terms used in Parts 1 through 5 above shall have the meanings ascribed thereto in Contract. Except as amended in Parts 1 through 5, all other sections, terms, obligations, duties, clauses, and provisions of Contract shall remain the same.

EXHIBIT A-1
SCOPE OF SERVICES
CONSULTANT shall provide land surveying and engineering services associated with monitoring of an existing rock slope/façade.
CONSULTANT shall perform the following tasks:
TASK A. Install Survey Prisms
CONSULTANT shall install 10 survey prisms on the rock face in selected areas using rope climbing techniques. Access through this area shall be maintained, but some small delays should be anticipated.
TASK B. Initial Monitoring
CONSULTANT shall subcontract with a local surveyor to be on site at the time of the prism installation to set up the survey base station(s) and control points. The survey prisms shall be aligned during installation towards the identified base station(s). A detailed topographic survey of the prism layout and rock face shall be performed to establish the monitoring base map and sections.
TASK C. Monthly Monitoring
The survey prisms shall be monitored monthly for a period of 1 year (12 months).
TASK D. Reporting
CONSULTANT shall submit 12 monthly summary data reports, including a final monitoring report at the end of the 12-month monitoring period.
