7. Mutual Hold Harmless and Indemnity
Each Party (as “Indemnifying Party”) shall defend, indemnify and hold harmless the other Party (as “Indemnified Party”) and its elected officials, officers, directors, agents, employees, subcontractors and volunteers from and against all third-party demands, claims, actions, liabilities, losses, damages and costs, including reasonable attorney fees, arising out of or resulting from the Services under this Agreement, caused in whole or in part by the negligent or intentional acts or omissions of the Indemnifying Party, its elected officials, officers, directors, agents, employees, subcontractors or volunteers.
It is the intention of the Parties that the provisions of this paragraph be interpreted to impose on each Party responsibility to the other Party for the acts and omissions of their elected officials, officers, directors, agents, employees, subcontractors and volunteers. It is also the intention of the Parties that, where comparative fault is determined to have been contributory, principles of comparative fault will be followed, and each Party shall bear the proportionate cost of any damage attributable to the fault of that Party, its elected officials, officers, directors, agents, employees, subcontractors and volunteers.
8. Insurance
Without limiting Licensee's indemnification of City, and prior to commencement of this Agreement, Licensee shall obtain, provide, and maintain at its own expense during the term of this Agreement, and any extension thereof, policies of insurance of the type and amounts described below and in a form that is satisfactory to the City.

form CA 00 01 covering bodily injury and property damage for all activities of Licensee arising out of or in connection with the Services to be performed under this Agreement, including coverage of any owned, hired, non-owned, or rented vehicles, in an amount not less than $1,000,000 combined single limit for each accident.
Other Insurance Provisions
Licensee's insurance policies shall contain or include endorsements with the following provisions:
Additional Insured Status
The City, its elected officials, officers, agents, employees and volunteers are to be covered as additional insureds on Licensee's general liability and automobile policies with respect to liability arising out of the Services performed by or on behalf of Licensee, including materials, parts or equipment furnished in connection with the Services.
Excess Insurance
The limits of insurance required in this agreement may be satisfied by a combination of primary and umbrella or excess insurance. Umbrella or excess policies shall provide coverage comparable to the underlying coverages and covering those insured in the underlying policies. Coverage shall be “pay on behalf” with defense costs payable in addition to policy limits. There shall be no cross-liability exclusion of claims or suits by one insured against the other. Any umbrella or excess insurance shall include an endorsement that such coverage shall apply on a primary and non-contributory basis for the benefit of City before City's own insurance or self-insurance shall be called upon to protect it as a named insured.
Primary and Non-Contributory Coverage
For any claims related to this Agreement, Licensee’s insurance coverage shall be primary insurance as respects City, its officers, officials, employees and volunteers. Any insurance or self-insurance maintained by City, its officers, officials, employees or volunteers shall be excess of Licensee’s insurance and shall not contribute with it and shall be at least as broad as CG 20 01 04 13.

Waiver of Subrogation
All insurance coverage maintained or procured by Licensee pursuant to this Agreement shall include either an endorsement waiving subrogation against City, its elected officials, officers, agents, employees, subcontractors and volunteers or Licensee shall waive its right of subrogation against City prior to Licensee
commencing the Services. Licensee shall require written express waivers or an endorsement waiving subrogation against City from each of its subcontractors.
Licensee shall submit copies of these waivers or insurance coverage to City prior to commencement of the Services.
Claims Made Policies
If any of the required policies provide coverage on a claims-made basis:
a) The Retroactive Date of coverage shall be shown on the policy and must be prior to the Effective Date of this Agreement or the commencement of the Services (the “Retroactive Date”).
b) Licensee shall maintain insurance and provide evidence of insurance for at least five (5) years after completion of the Services. c) If coverage is canceled or not renewed, and not replaced with another claims-made policy which includes the Retroactive Date, Licensee must purchase “extended reporting” coverage for a minimum of five (5) years after completion of the Services.
Verification of Coverage
Licensee shall provide City with copies of certificates (on City certificate form or an Accord form as modified per City direction) for all insurance policies, with the appropriate named additional insured coverage and an endorsement that they are not subject to cancellation without 30 days prior written notice to City. Licensee is to provide all insurance certificates with endorsements to City for approval prior to the commencement of the Services. However, failure to obtain the required documents prior to commencement of the Services shall not waive Licensee's obligation to provide verification of coverage to City. City has the right to require certified copies of all required insurance policies, including endorsements, at any time.
Subcontractors
Licensee shall require and verify that all subcontractors maintain insurance meeting all the requirements stated herein, and Licensee shall ensure that City is DPW: 850-20\ev\Council\2026\051926\Emergency Communications Site License Agreement 1619 Grissom Street Att

an additional insured on insurance required from subcontractors. For CGL coverage, subcontractors shall provide coverage with a form at least as broad as CG 20 38 04 13.
9. Termination
Either party may terminate this Agreement without cause by notifying the other Party in writing thirty (30) days prior to the termination date (“Termination Date”).
In the event of termination, Licensee shall remove its Equipment from the Site on or before the Termination Date. Failure to remove Equipment by the Termination Date without prior written agreement between the Parties shall result in the Equipment being deemed abandoned.
10. Waiver; Remedies Cumulative
Failure by a Party to insist upon the strict performance of any of the provisions of this Agreement by the other Party, irrespective of the length of time for which such failure continues, shall not constitute a waiver of such Party's right to demand strict compliance by such other Party in the future. No waiver by a Party of a default or breach of the other Party shall be effective or binding upon such Party unless made in writing by such Party, and no such waiver shall be implied from any omissions by a Party to take any action with respect to such default or breach. No express written waiver of a specified default or breach shall affect any other default or breach, or cover any other period of time, other than any default or breach and/or period of time specified.
11. Conflict of Interest
Each Party is unaware of any employee or official of the other Party who has a financial interest in the first Party's business. During the term of this Agreement, Licensee shall not offer, encourage or accept any financial interest in Licensee's business by any City employee or official, and City shall not offer, encourage or accept any financial interest in City's business by any employee or official of Licensee.
12. Construction of Language of Agreement
The provisions of this Agreement shall be construed according to its common meaning of purpose of providing a public benefit and not strictly for or against any Party. It shall be construed consistent with the provisions hereof, to achieve the objectives and purposes of the Parties. Wherever required by the context, the singular shall include the plural and vice versa, and the masculine gender shall include the feminine or neutral genders or vice versa.

Any amendment, modification, or variation of the terms or tasks of this Agreement, including early termination, shall be in writing and shall be effective only upon the mutual written approval of City Manager and Licensee.
16. Use of the Term “City”
Reference to “City” in this Agreement includes City Manager or any authorized representative acting on behalf of City.
17. Captions
The captions or headings in this Agreement are for convenience only and in no other way define, limit or describe the scope or intent of any provision or section of this Agreement.
