City Attorney Sullivan introduced the item to the City Council.
Councilmember Griffiths commented that there should be runoffs for all elected positions where there is only one winner, as long as no one has achieved at least 50% of the vote. He added that there should be an exception to do a city-run mail-in runoff election to save costs. He also stated that a fix for removal of office should be revisited for the charter to prevent issues such as the previous City Treasurer. He concluded that switching from June to March for election dates was too confusing and to combine the election with the school board elections to save costs.

9D. DISCUSS AND PROVIDE DIRECTION REGARDING FORENSIC REVIEW OF
FINANCIAL PROCESSES
In response to an oral request by Councilmember Jon Kaji with City Council concurrence, it is the recommendation of the Finance Director that City Council provide direction regarding a forensic review of financial processes.
Enterprise Risk and Human Resources Manager Jason Nishiyama introduced the item to the City Council.
Councilmember Griffiths commented about not repeating the reserve issues and that current staff have been diligent but spending money to review past issues would not be prudent.
Councilmember Kaji concurred about new city management improvements but stressed that investigating how those issues happened would help Torrance not repeat those mistakes. He stated that it would be worth the cost.
Councilmember Lewis and City Manager Chaparyan discussed some of the events that had led to the reserve issues, and the solutions staff followed up with. City Manager Chaparyan mentioned that the Great Recession hit Torrance hard, among other things. He added that they have considered current debt and investments in projections. Finance Director Sheila Poisson elaborated that, in addition to best practices in accounting and finance, they have taken beneficial routes when dealing with contracts and CalPERS. She continued that the pension trust has had significant contributions and has reduced unfunded liabilities. City Manager Chaparyan stated that a 3-6-month reserve philosophy was useful since having too much in reserves restricts improving the city with available funds.
Assistant Finance Director Ian Dailey detailed the specifics of the reserve fund from the cyber-attack.
Members of the public spoke.
Finance Director Poisson explained that FY2014-2021 was the date periods and it was for that $581 K.

City Manager Chaparyan recommended that if there should be a forensic audit, then they should do a full-on audit and put the issue to an end. He suggested possible workshops as an option.
Councilmember Mattucci stated that a deep dive could not just reveal what went wrong, but possibly what went right. He stated that the $21 K option with the existing vendor was good, but on the assumption that they actually are doing an audit and not what the city already knows.
Councilmember Lewis and Finance Director Poisson discussed the details about this auditor, and if they would be auditing their own work. Councilmember Lewis concurred that the $400K was too much.
Councilmember Kalani stated that a high-level overview with a low cost from the existing auditor would work. She and Finance Director Poisson discussed the price and if there were ways of how awarding was done based on price.
MOTION: Councilmember Griffiths moved to accept and file item 9D. There was no second and the motion failed.
MOTION: Councilmember Kalani moved to bring back the process of knowing what the bids look like, scoring them, and what the process should answer with a high-level overview with a low cost. Councilmember Lewis seconded the motion.
Finance Director Poisson explained the difference between financial reviews and financial audits, and how the firms see it and what they would do differently.

Councilmember Kalani understood the failures of Cal Cities but stated that she would support reinstating membership and noted that staff sees the benefits of being a member.
Members of the public spoke.
Councilmember Griffiths and Management Associate Huizar discussed the membership conflicts with the National League of Cities and League of California Cities, and the restrictions and increased fees associated with memberships. Councilmember Griffiths stressed that Torrance could do everything on its own that being in League of California would provide and given their failures on local control and fees it is not worth it to be members . He suggested different organizations that Torrance could join.
Mayor Chen stated that they have given the message, but that there is a benefit to being a member. He added that it would be easy to exit if need be.
Councilmember Mattucci acknowledged there were benefits to being a member but stated that the organization has not lived up to expectations. He added that the state has removed local control and that it was important to defend against that. He stated that the League of California Cities has not heard the message.
Councilmember Mattucci, Councilmember Griffiths and City Manager Chaparyan debated consequences of not being a member, and whether there were meeting expulsions.
Councilmember Mattucci stated that he would reluctantly support this, but that there needs to be massive improvement. He added that unfortunately elections have consequences.
Mayor Chen stressed that many of their issues are at elected officials, but that there was benefit to being a member.
Councilmember Kaji stated that he wants to represent his constituency, and that his original vote to withdraw was that Torrance was left out with Cal Cities. He added that the organization has failed, but that Torrance needs to be a part of Cal Cities to lobby for Torrance interests. If they were not involved, they would have no say. He would support reinstating Torrance, and that he would be an active member and would report back.
Councilmember Kalani and City Manager Chaparyan discussed the correlation between memberships in both Cal Cities and NLC.
Councilmember Griffiths commented that the webinars are available for a non-member fee . He added that with NLC they have already paid the higher fees, and that should be investigated. He stated that attending as a non-member sends a strong message and Torrance can still get benefits. He stated that, if this passes, more city members attending would be necessary.
MOTION: Councilmember Kaji moved to approve item 9G. Councilmember Mattucci seconded the motion. The motion carried by a vote of 5-1 with Councilmember Griffiths voting no, and Councilmember Sheikh absent.
