FIRST AMENDMENT TO AGREEMENT (C2024-190)
This First Amendment to Contract Services Agreement C2024-190 (the “First Amendment”) is made and entered into as of October 2, 2024 (the “Effective Date”), by and between the CITY OF TORRANCE, a municipal corporation (“CITY”), and Bazan Roofing, Inc., a California corporation (“CONTRACTOR”).
RECITALS:
A. CITY previously wished to retain the services of an experienced and qualified CONTRACTOR to provide On-Call Roofing Maintenance and Repair Services.
B. In order to obtain the desired services, CITY circulated its Request for Quote for On-Call Roofing Maintenance and Repair Services, RFQ No. 2024-0729 (the “RFQ”).
CONTRACTOR submitted a Quote (the “Quote”) in response to the RFQ, wherein CONTRACTOR represented that it was qualified to perform those services requested in the RFQ.
C. On or about September 1, 2024, CITY and CONTRACTOR entered into Contract Services Agreement C2024-190, whereby CONTRACTOR agreed to provide to CITY the requested On-Call Roofing Maintenance and Repair Services, with a term running through August 31, 2027, and for an amount not-to-exceed $250,000.
D. After entering into the Agreement, CITY commenced multiple capital improvement projects requiring the same roofing maintenance and repair services CONTRACTOR agreed to provide in the Agreement, but for various locations not covered by the initial Agreement.
E. In order to ensure that CITY obtains the additional roofing and maintenance repair services necessitated by the capital improvement projects, CITY and CONTRACTOR now agree to expand CONTRACTOR’s role under the Agreement to include the same On-Call Roofing Maintenance and Repair Services CONTRACTOR already agreed to provide via the Agreement, but now to include additional locations undergoing renovations as part of CITY’s new capital improvement projects.
F. Furthermore, CITY and CONTRACTOR now wish to amend the Agreement to increase CONTRACTOR’s compensation by $1,250,000, for a new not-to-exceed amount of $1,500,000, in order to compensate CONTRACTOR for the additional services. ///

AGREEMENT:
1. Paragraph 3, entitled “COMPENSATION”, Section A, entitled “CONTRACTOR’s Fee”, is hereby amended to read in its entirety as follows:
“3. COMPENSATION
A. CONTRACTOR’s Fee.
For services rendered pursuant to this Agreement, CONTRACTOR will be paid in accordance with the Compensation Schedule set forth in the Quote; provided, however, that in no event will the total amount of money paid CONTRACTOR, for services initially contemplated by this Agreement, exceed the sum of $1,500,000 (the “Agreement Sum”), unless otherwise first approved in writing by CITY.”
2. In all other respects, the Agreement, as amended by this First Amendment, is ratified and reaffirmed and remains in full force and effect.
