DISCUSSION
The City of Torrance entered into an Amended and Restated Lease with DCH California Investments LLC (C2009-247) on July 19, 2009, for the operation of automobile dealership facilities (DCH Toyota) on City-owned parcels located at 2909 and 2955 Pacific Coast Highway (the “Leased Premises”). The lease has been amended twice to address operational and financial provisions.

The First Amendment, executed on July 14, 2015, eliminated the scheduled Fair Market Rent Adjustment for January 1, 2015, and changed the payment schedule for percentage rent from annual to semi-annual. The Second Amendment, executed on December 19, 2017, provided clarifications related to gross profit calculations and audit procedures to improve accountability and administrative efficiency.

The proposed Third Amendment incorporates two key updates:

1. Term Extension:

The Lessee has exercised the first of two 10-year extension options. As a result, the lease term will be extended through December 31, 2034 .

2. Fair Market Rent Adjustment:

Effective January 1, 2025 , the Minimum Base Rent (MBR) will be adjusted to reflect the mutually agreed-upon fair market value of the Leased Premises. The new MBR will be 1 City Council

2 $144,933.33 per month , or $1,739,199.96 annually , for calendar year 2025. Provisions for percentage rent (1% of gross sales) and annual rent adjustments will remain as currently specified in the Lease.

For comparison, for calendar year 2024, the City received $1,295,880 in MBR and $98,398 in Percentage Rent. The updated MBR represents an annual increase of $433,319.96 in guaranteed lease revenue for this calendar year. This Fair Market Adjustment ensures the City continues to receive a fair market return on this high-value commercial property while preserving revenue from gross sales performance.
